At year-end, cash and short-term investments totaled $291.7 million; total liquidity, including net revolving-credit availability, was $560.8 million. Face-value debt was $400 million: $175 million of 4.5% cash convertible notes due April 1, 2015 and $225 million of 8.25% senior notes due 2020. No revolving-credit borrowings were outstanding; net availability was $269.1 million.
Fourth-quarter 2014 sales were $338.0 million, operating income $26.8 million and net income $15.6 million, compared with $311.3 million, $41.6 million and $27.3 million, respectively, in fourth-quarter 2013.
Material changes versus prior year
- Annual sales rose 4.5%, reflecting 4% higher shipments; total realized sales price per pound was unchanged at $2.30.
- Operating income declined to $137.9 million from $173.3 million. Segment operating income excluding identified non-run-rate items was $168.5 million, down from $183.4 million.
- Management attributed the adjusted operating-income decline mainly to a $32.6 million negative price impact, primarily lower heat-treat plate pricing. Higher volume contributed $16.6 million, while manufacturing conversion and other costs improved by a net $9.5 million.
- Automotive Extrusions shipments increased 22% and value-added revenue rose to $90.9 million from $66.3 million. Aero/HS shipments increased, but value-added revenue declined to $430.2 million from $449.2 million.
- Cash from operations increased, while capital spending and share repurchases declined. The company repurchased 633,230 shares for $44.9 million and paid $25.4 million in dividends.
Outlook, commentary and key risks
- Management expected strong year-over-year growth in 2015 shipments and value-added revenue, led by Aero/HS products and Automotive Extrusions, with improving GE demand and further operating leverage and manufacturing-cost improvements. It anticipated record shipments, continued aerospace inventory normalization and no significant heat-treat plate price appreciation.
- Management projected North American automotive build rates to increase approximately 2.7% in 2015 and estimated its served markets would grow at about 4% annually over the following five years. Planned annual capital investment over the next five years was approximately $50–$75 million; the specific 2015 spending estimate was $50–$60 million.
- The $175 million convertible notes were due April 1, 2015. Management said available liquidity and expected proceeds from related hedge-option settlements should fund repayment or conversion obligations.
- Key exposures include aerospace and automotive cyclicality, customer concentration (Reliance accounted for about 22% and Boeing 10% of 2014 sales), competitive pricing, substitution by other materials, aluminum/energy price movements, operational interruptions and derivative-counterparty risk.
- Environmental remediation accruals were $19.3 million; the company said reasonably possible additional undiscounted costs could reach an estimated $25.1 million over the remediation period. Trentwood and Newark investigations and remediation planning remained ongoing.
- FY2014 included $23.7 million of non-cash VEBA pension benefit income and $10.4 million of unrealized operational-derivative losses. Other comprehensive loss was $75.4 million, largely reflecting pension-related items. These and other non-run-rate items affect comparisons.
- A new five-year USW labor agreement for Newark and Trentwood was ratified in January 2015, effective October 2015 through September 2020. The Union VEBA contribution obligation, capped at $17.1 million annually, was to expire in September 2017.
Important facts for investors to verify
- Whether 2015 shipment growth and manufacturing-cost gains offset lower value-added pricing and any persistent aerospace supply-chain inventory overhang.
- Repayment or conversion of the $175 million notes, settlement of the associated hedge options, and resulting liquidity and share dilution effects.
- Customer concentration, aluminum and energy hedging exposure, derivative collateral terms, and the availability of the revolving credit facility.
- Environmental remediation estimates and any updates to the $19.3 million accrual or possible additional costs.
- VEBA obligations and accounting effects, labor-contract developments, and the sustainability of dividend and repurchase levels.
