Financial performance and position

MetricFY2019FY2018
Revenue$120.3 million$251.5 million
Royalties$47.0 million$128.6 million
Captisol material sales$31.5 million$29.1 million
License fees, milestones and other revenue$41.8 million$93.8 million
Operating costs and expenses$126.0 million$87.7 million
Net income$629.3 million$143.3 million
Operating cash flow$(29.3) million$194.1 million

FY2019 income included an $812.8 million accounting gain from the Promacta asset sale; the $827 million cash proceeds included $14.2 million of Promacta royalty revenue recognized through the sale date. Net income therefore substantially reflects a nonrecurring transaction, not recurring operating revenue. Excluding that gain, operating income was $5.7 million below zero, before other income and taxes.

Revenue declined 52% year over year, primarily because Ligand sold its Promacta royalty rights in March 2019 and no longer receives Promacta royalties. Royalties fell 63%; material sales rose 8%, with Ligand reporting its highest annual Captisol material sales. License and other revenue fell 55%, principally because 2018 included a $47 million WuXi OmniAb license fee and a $20 million Roivant upfront payment. R&D expense rose 101% to $55.9 million, and total operating expenses increased 44%.

Fourth-quarter 2019 revenue was $27.0 million and net loss was $7.4 million, compared with fourth-quarter 2018 revenue of $59.6 million and net loss of $42.5 million. FY2019 diluted net income per share was $31.85, versus $5.96 in FY2018; the 2019 figure was greatly affected by the Promacta gain.

At year-end, cash, cash equivalents and short-term investments totaled approximately $1.012 billion; working capital was $1.107 billion. The balance sheet reported total assets of $1.495 billion and stockholders’ equity of $767.2 million. Ligand had $750 million principal amount of 0.75% convertible notes due 2023, carried at $639.0 million net; the 2019 notes were repaid at maturity. Contractual payments on the 2023 notes, including interest, were listed at $769.2 million. Ligand spent $453.0 million on share repurchases in 2019 and had $326.8 million of authorization remaining at year-end.

Operating cash flow was negative despite reported net income, largely because the sale gain is excluded from operating cash flow and the company paid $103.8 million in income taxes. Investing cash flow was positive $466.9 million, including the $812.8 million sale proceeds; financing cash flow was negative $485.2 million, including share repurchases and debt repayment. The filing does not provide a clear consolidated gross-margin figure.

Material changes and business developments

  • Ligand sold all Promacta-related rights to Royalty Pharma for $827 million and relinquished future Promacta royalties. Before the sale, Promacta represented nearly half of total revenue.
  • Kyprolis royalties increased to $25.0 million from $21.7 million, while Evomela royalties decreased to $5.2 million from $5.7 million. The filing identifies Kyprolis and Evomela as important sources of royalty revenue.
  • Ligand acquired Ab Initio for approximately $12 million, adding antigen-discovery technology complementary to OmniAb, and invested $3 million in Dianomi for equity and royalty rights.
  • The company expanded platform partnerships and reported more than 40 OmniAb license partners, approximately 180 active OmniAb programs and 12 in clinical trials. Captisol-enabled products and programs also advanced, including U.S. launch of Zulresso and China launch of Evomela.
  • Ligand’s internal Captisol-enabled Iohexol program met its Phase 1 bioequivalence endpoint. Ligand planned an FDA IND submission and a U.S. Phase 2 study in 2020.

Outlook, risks and contingencies

Ligand did not provide quantitative revenue or earnings guidance in the supplied filing text. Management said it expected available funds, operating cash flow and financing access to support working capital, debt service, R&D, repurchases and strategic transactions. It does not provide forward-looking R&D cost or completion estimates, citing uncertainty around clinical outcomes, regulatory requirements, partner decisions, funding and competition.

  • Revenue concentration and partner execution: Partnered royalties and Captisol sales depend on partners’ product sales, development choices, regulatory approvals and commercialization. Partner A and Partner B accounted for 13% and 27% of 2019 revenue, respectively; the partner names are not disclosed in this concentration table.
  • Generic and patent exposure: Teva may launch generic Evomela in the U.S. on June 1, 2026, or earlier in specified circumstances. Separate Evomela patent litigation with Alembic and Lupin remained active. Public reports cited possible Kyprolis generic entry in 2027 or sooner, depending on confidential terms and other events.
  • Supply dependence: Captisol is sourced primarily from Hovione, a single supplier. A supply interruption or inventory problem could disrupt material sales and partner programs.
  • Pipeline and platform uncertainty: No OmniAb-derived product had yet received FDA or comparable approval. Partners can discontinue programs, and clinical or regulatory failures may eliminate potential milestones and royalties. Metavant paused plans for a proof-of-concept trial of RVT-1502 pending additional nonclinical work; in Q1 2020, Novan reported SB206 missed the primary endpoint in Phase 3 pivotal trials.
  • Debt, taxes and unusual items: The $750 million 2023 notes remain outstanding and could involve cash payments, dilution or refinancing constraints. The company reported $167.3 million of income tax expense and $28.7 million of unrecognized tax benefits at year-end. A $5.1 million reduction in the Selexis commercial license asset and accelerated amortization associated with the GRA program were also reported.
  • Other matters: Ligand signed an agreement to acquire Icagen assets for $15 million, with up to $25 million in additional revenue-based payments; closing was expected in April 2020 and remained subject to conditions. Ligand also disclosed exposure to market and credit risk in its investment portfolio, partner and product-liability risks, and the potential effects of the novel coronavirus outbreak. It had no off-balance-sheet arrangements.

The independent auditor issued unqualified opinions on the financial statements and internal controls. The audit identified uncertain tax positions and the Promacta sale accounting as critical audit matters, without modifying the audit opinion.
