The acquired U.K. GSF Car Parts business was sold in October to satisfy a regulatory condition.

Segment developments
- Wholesale–North America: Revenue increased 15.9% to $5.281 billion, including Uni-Select; Segment EBITDA rose 14.5% to $975 million. EBITDA margin was 18.5%, versus 18.7%.
- Europe: Revenue increased 10.2% to $6.323 billion; Segment EBITDA rose 5.1% to $614 million. Margin declined to 9.7% from 10.2%; results included an $11 million Italian VAT settlement and an estimated $17 million EBITDA impact from German labor strikes.
- Specialty: Revenue decreased 6.9% to $1.665 billion, reflecting weaker RV demand. Segment EBITDA fell 32.7% to $134 million and margin declined to 8.0% from 11.1%.
- Self Service: Revenue decreased 16.5% to $597 million, principally because of lower scrap and precious-metals prices. Segment EBITDA fell 57.3% to $36 million; margin declined to 6.0% from 11.7%.
Liquidity, debt and capital allocation
At year-end, LKQ reported $596 million of current debt maturities, including €500 million of notes (reported as $552 million) due in April 2024; management said it intended to refinance them by maturity. The company reported compliance with its debt covenants: leverage ratio 2.3 against a 4.0 maximum, and interest coverage 7.5 against a 3.0 minimum. Approximately $1.243 billion of variable-rate debt was unhedged; a 100-basis-point rate move was estimated to change interest expense by $12 million over the following 12 months.
LKQ paid $302 million in dividends and repurchased $38 million of shares in 2023. The Board declared a $0.30-per-share quarterly dividend in February 2024. The company had $1.076 billion remaining under its $3.5 billion repurchase authorization at December 31, 2023.
Outlook, commentary and notable items
- The filing does not provide a specific 2024 revenue, earnings or EPS guidance range. Management said current liquidity, expected operating cash flow and capital-market access should be sufficient for current operating and capital needs.
- The multi-year “1 LKQ Europe” transformation is now expected to be completed by the end of 2027, extended from 2025. The extension increased the overall cost estimate by $85 million; expected costs from 2024 through completion are $125–$155 million. Management expects further productivity, shared-services and working-capital benefits.
- Management expects the Ukraine conflict to continue affecting operations in 2024 but did not expect a material impact on ongoing results or cash flow. Ukraine represented approximately 1% of 2023 revenue and operating profit.
- Key risks include acquisition integration and elevated leverage; weaker Specialty demand; metal-price volatility and lagging vehicle acquisition costs; inflation and labor costs; supplier and logistics concentration, including sourcing from Asia; foreign-exchange and interest-rate exposure; competition and OEM intellectual-property restrictions; environmental compliance; and cybersecurity or IT disruption.
- LKQ recorded $65 million of restructuring and transaction-related expenses in 2023. A Uni-Select-related foreign-exchange contract gain contributed $49 million to pretax results. Uni-Select contributed $546 million of revenue and an operating loss of $17 million from acquisition through year-end, including restructuring/transaction expenses and acquired-intangible amortization.
- The CEO was scheduled to retire effective June 30, 2024, with COO Justin Jude designated to become CEO July 1, 2024. The auditor issued unqualified opinions on the financial statements and internal control; however, Uni-Select was excluded from the internal-control assessment, representing 16% of consolidated assets and 4% of revenue.
