Sales growth reflected higher volume, pricing actions and the June 2023 acquisition of Chef Inspirational Foods (CIF). Management also cited stronger demand from existing customers, cross-selling, promotions and product additions. Cost of sales rose faster than sales, to 75% of net sales from 72%; management attributed the margin decline principally to commodity cost increases, especially chicken, partly offset by pricing and manufacturing efficiencies.
Cash, debt and liquidity
- Cash was $13.043 million at April 30, 2024, up from $11.022 million at January 31, 2024. Working capital was $6.847 million, compared with $6.876 million.
- Operating activities generated $3.641 million; investing activities used $1.144 million, primarily for machinery and equipment; financing activities used $0.476 million, mainly for term-loan and finance-lease repayments. Cash increased by $2.021 million.
- The M&T Bank line of credit had no outstanding balance; its maximum commitment is $5.5 million and it matures October 31, 2025. The M&T term loan balance was approximately $4.2 million and matures January 17, 2027. The company reported compliance with loan covenants.
- Related-party promissory notes totaled $4.2 million on the balance sheet, including the T&L seller note and CIF acquisition note. A $1.2 million CIF note payment was due June 28, 2024; the remaining $1.5 million is payable in company stock in June 2025. T&L seller-note payments of $750,000 plus interest are due in December 2024 and December 2025.
- Management believes available cash should meet requirements for at least the next 12 months at current and projected operating levels, but says additional funding may be needed for growth or strategic objectives and cannot be assured on acceptable terms.
Material changes, unusual items and outlook
- Operating expenses increased 51% to $6.690 million. The largest identified item was an approximately $900,000 one-time charge related to a settlement with four directors over purported 2018–2019 options that exceeded the equity plan’s available shares. The May 15, 2024 settlement provided each director approximately $113,000 and approximately 17,000 shares. The charge was recorded in the quarter ended April 30.
- Other expense declined to $41,000 from $163,000, in part because the company recorded $92,000 of interest income in the current period.
- The CIF acquisition affects period comparability: CIF was consolidated after the company acquired its remaining interest in June 2023. CIF contributed $8.289 million of revenue in the comparable 2023 quarter, when it was not yet fully consolidated.
- The company began a five-year lease for additional Farmingdale warehouse and office space in April, recognizing approximately $873,000 of right-of-use assets and liabilities. It also amended its East Rutherford lease to end August 31, 2024 and wrote off approximately $897,000 of related right-of-use asset and liability; negotiations over an extension and expansion were ongoing.
- No specific revenue or earnings guidance was provided. Key stated risks include dependence on a limited number of customers, commodity and freight pricing, competition, inflation, regulation, product quality and liability, and retaining key executives. One customer represented approximately 43% of gross revenue in the quarter.
- Management reported disclosure controls were effective at the reasonable-assurance level and no material change in internal control over financial reporting during the quarter. The company said there were no material changes to previously disclosed risk factors and no litigation it believed would materially affect its financial condition or results.
