Material changes versus Q1 2023 and year-end 2023
- Investment income edged up, but net investment income fell about 3% as net expenses rose about 4%, mainly because debt costs increased and the prior-year fee offset ended.
- Operating results declined about 15%; the period included $8.1 million of net realized losses, primarily a $7.1 million write-off of ViewRay. Unrealized gains partly offset realized losses.
- Debt declined by about $57 million from year-end, while cash and cash equivalents declined by about $44 million. Investment fair value increased by about $19 million, and NAV per share rose by $0.01.
- Portfolio activity was $152.8 million of investments made and $136.9 million repaid, for $15.9 million of net investment activity. The portfolio included 154 companies, versus 141 a year earlier.
- Non-accrual investments were 0.6% of portfolio fair value, versus 0.2% at year-end (0.9% of amortized cost, versus 1.2%).
Outlook, risks, contingencies and unusual items
- Management stated that cash, investments, available facility capacity and expected operating cash flows should meet operating needs for at least the next 12 months. This is management’s assessment, not earnings guidance.
- On May 7, 2024, the Board declared a $0.38-per-share distribution payable June 27, 2024; the filing cautions that future distributions at this level are not assured.
- Proposed mergers with Apollo Senior Floating Rate Fund and Apollo Tactical Income Fund were anticipated to close in the first half of 2024, subject to stockholder and other conditions. The transactions are independent of one another. The agreements provide for NAV-based share exchange ratios, $0.25 per share special payments to the target funds’ holders, and a proposed $0.20-per-share cash distribution to MFIC holders after the mergers, subject to applicable law.
- Valuation is a significant risk: $2.343 billion, or 99.6% of investments, was classified as Level 3 and relies on significant unobservable inputs. The filing warns actual sale proceeds may differ materially from reported fair values.
- Investments are predominantly floating-rate, while borrowings include both floating- and fixed-rate debt. Management estimates annual net investment income would change by approximately $5.0 million for a 50-basis-point rate move, in either direction, assuming no change in portfolio or borrowing structure.
- Unfunded commitments totaled $359.4 million, including $43.2 million of standby letters of credit; funding is subject to contractual conditions. Substantially all investment securities are pledged to the Senior Secured Facility.
- The company reported compliance with debt covenants. It had no material legal proceedings and reported effective disclosure controls; no material change in internal control over financial reporting was identified.
Most important facts for investors to verify
- Whether the proposed AFT and AIF mergers closed, and the final exchange ratios, special payments and post-merger distribution terms.
- Portfolio credit quality and valuation changes, particularly Level 3 marks, non-accruals, PIK accruals and the status of investments with material write-downs.
- Whether portfolio income and cash receipts support the declared distribution, given Q1 net investment income of $0.44 per share versus the $0.38 distribution and the non-cash component of PIK income.
- Debt costs, borrowing-base availability, covenant headroom and liquidity after the quarter; $350 million of 2025 Notes is listed as due within one year.
- Actual drawdowns of unfunded commitments and any material changes in the portfolio or financial position after March 31, 2024.
