Business context and reporting period
Marker Therapeutics, Inc. is a clinical-stage immuno-oncology company developing non-genetically engineered, multi-tumor-antigen-specific T-cell therapies. This Form 10-K covers the fiscal year ended December 31, 2023, with 2022 comparisons. The company’s programs include MT-601 for lymphoma and pancreatic cancer and an off-the-shelf MT-401 program for AML. It has no approved products and no product-sale or licensing revenue.
Financial performance and liquidity
| Metric | 2023 | 2022 |
|---|---|---|
| Grant income (continuing operations) | $3.31 million | $3.51 million |
| Research and development expense | $10.42 million | $11.97 million |
| General and administrative expense | $7.48 million | $11.34 million |
| Net loss from continuing operations | $14.05 million | $19.78 million |
| Net loss, including discontinued operations | $8.24 million | $29.93 million |
| Cash and cash equivalents at year-end | $15.11 million | $11.78 million |
| Working capital at year-end | $14.05 million | $8.84 million |
| Net cash used in continuing-operations operating activities | $10.34 million | $21.51 million |
Grant income is research funding, not commercial revenue; operating margins are not meaningful for this pre-commercial business. Total net loss improved substantially, primarily because the 2023 results include an $8.73 million after-tax gain on the sale of manufacturing assets. The company sold the assets to related party Cell Ready for $19.0 million. The sale proceeds are reflected in discontinued-operations investing cash flow; total cash increased by $3.33 million during 2023.
Year-end total liabilities were $3.07 million, primarily accounts payable, accrued liabilities and a $1.33 million related-party payable to Cell Ready, which was paid in February 2024. The balance sheet does not show a debt balance. Management expects cash, together with available grant funding, to fund operating and capital needs into the fourth quarter of 2025, but states that additional funding will be needed for longer-term plans. The filing says the Cell Ready transaction alleviated the previously noted substantial doubt about going concern; the runway estimate depends on assumptions and grant drawdowns.
Material changes versus the prior period
- Operating expenses declined 23% to $17.89 million. R&D expense fell 13%, mainly reflecting reduced process-development and AML Phase 2 costs, partly offset by increased outsourced manufacturing costs. G&A expense fell 34%, largely due to lower headcount, facility, legal and insurance costs.
- The June 2023 Cell Ready transaction transferred the company’s manufacturing facilities, equipment and related assets. The disposition was treated as discontinued operations and represents a strategic shift; comparative financial statements were presented on that basis.
- The company reduced headcount and recorded $0.9 million in severance and termination costs. Juan Vera became CEO in May 2023 and was appointed principal financial and accounting officer in November.
- Continuing-operations operating cash use decreased year over year. Cash was also supported by sale proceeds and $1.1 million of financing proceeds, principally ATM sales and option exercises.
Outlook, commentary and key risks
- Clinical programs: MT-601’s Phase 1 APOLLO lymphoma study began in 2023. The first reported participant achieved a complete metabolic response and remained in complete response six months after initial treatment; further enrollment is needed to validate the observation. In a BCM-conducted pancreatic cancer study, 4 of 13 evaluable patients had objective responses. The company’s PANACEA study is subject to additional financial support.
- Portfolio priorities: Marker discontinued its Phase 2 ARTEMIS study and is prioritizing MT-401-OTS for AML and myelodysplastic syndromes. It expects to dose the first OTS patient in the second half of 2024. Agencies agreed to redirect grant support toward the OTS program.
- Manufacturing and related-party exposure: Marker no longer operates its own cGMP manufacturing facility and relies on third parties, principally Cell Ready, which is owned by a director and shareholder. A February 2024 services agreement has a three-year initial term; the first work order for MT-401 and/or MT-601 manufacturing is not expected to exceed $750,000.
- Principal risks: continuing operating losses and need for future capital; clinical and regulatory uncertainty; trial enrollment and efficacy risks; manufacturing capacity, quality and vendor dependence; reliance on BCM and licensed intellectual property; potential dilution from future financing; and uncertain future reimbursement and market adoption. The filing reports no material legal proceedings and no material cybersecurity incident known to the company.
- Management reported effective disclosure controls and internal control over financial reporting as of year-end. The independent auditor issued an unqualified opinion on the financial statements and did not express an opinion on internal-control effectiveness.
