Financial performance and liquidity

MetricFY2022FY2021
Revenue$4.462 billion$2.969 billion
Gross profit / margin$2.064 billion / 46.3%$1.488 billion / 50.1%
Operating loss$347.7 million$258.4 million
Net loss$421.0 million; $0.53 per diluted share$277.3 million; $0.41 per diluted share
Cash flow from operations$819.4 million$817.3 million
  • Revenue rose 50.3%; management attributed growth to organic expansion, Inphi, higher unit shipments (up 30%) and higher average selling prices (up 20%). Data center revenue increased 71%; carrier infrastructure 37%; enterprise networking 43%; consumer 22%; and automotive/industrial 112%.
  • Gross margin declined 3.8 percentage points, primarily due to acquisition-related inventory fair-value and acquired-intangible amortization. Operating expenses were $2.412 billion versus $1.747 billion, including higher acquisition-related personnel, amortization, integration, and stock-based compensation expenses.
  • Cash and cash equivalents were $613.5 million, down from $748.5 million. Operating cash flow was nearly flat year over year; working capital absorbed cash, notably through higher receivables, inventory, and prepaid assets.
  • Cash used in investing was $3.745 billion, principally reflecting $3.555 billion net cash consideration for acquisitions. Cash provided by financing was $2.791 billion, including $3.896 billion of debt proceeds.
  • Debt at face value was $4.588 billion ($4.548 billion net carrying amount); the $750 million revolving facility was undrawn at year-end. Total assets included $11.511 billion goodwill and $6.153 billion acquired intangible assets. Current assets were $2.493 billion and current liabilities $1.389 billion.

Material changes, outlook, and risks

  • Inphi was acquired for approximately $9.918 billion and Innovium for approximately $1.004 billion, largely through cash/debt and stock, respectively. Shares outstanding increased to 846.7 million from 675.4 million, reflecting acquisition consideration and other equity activity.
  • Marvell recorded $31.6 million of restructuring-related charges in FY2022; the integration-related restructuring actions were expected to be completed by the end of FY2023. No goodwill impairment was recorded in the annual test.
  • Management said industry supply constraints were limiting its ability to meet some demand, with longer lead times and higher input costs. It had entered capacity-reservation arrangements and was working with customers on price increases. The filing expected semiconductor supply constraints to continue through calendar 2022.
  • Management expected U.S. export restrictions affecting certain Chinese customers to continue to affect FY2023 revenue. Sales shipped to customers with operations in Asia represented 78% of FY2022 revenue; one distributor accounted for 15%, and the ten largest customers, including that distributor, accounted for 56%.
  • The filing provides no numerical revenue or earnings guidance. It states that existing cash, operating cash generation, and the revolving facility were expected to cover needs for at least the next 12 months.
  • Key risks include supply-chain and foundry concentration, COVID-19 disruption, China trade restrictions, customer concentration and order volatility, intense competition and pricing pressure, acquisition integration, debt service and covenants, and potential impairment of substantial goodwill and acquired intangibles. Purchase commitments to foundries and test/assembly partners totaled $3.175 billion; the company also estimated at least $2.3 billion of purchase-level commitments under capacity arrangements for FY2023–FY2032.
  • Marvell paid $191.0 million in dividends in FY2022 and made no share repurchases while prioritizing debt reduction. A $36.0 million legal settlement was recorded in FY2021; management did not expect pending legal matters, individually or in aggregate, to have a material adverse effect, while noting outcomes remain uncertain.

Important facts for investors to verify

  • How much of revenue growth and future demand reflects acquired businesses versus organic growth, and whether acquisition synergies materialize.
  • Whether margins recover as acquisition-related inventory and intangible amortization declines, and whether price increases offset rising supply costs.
  • Supply availability, capacity-reservation obligations, inventory levels, and the risk of excess or obsolete inventory.
  • Debt repayment progress, variable-rate exposure, covenant headroom, and cash availability given that approximately $498 million of year-end cash was held outside the United States.
  • Exposure to Chinese customers and export controls, including potential customer substitution or order shifts.
  • Assumptions supporting acquisition valuations and the recoverability of $11.5 billion of goodwill and $6.2 billion of acquired intangible assets.
