FY2023 operating cash flow less capital expenditures was approximately $142.2 million. Cash and cash equivalents were $174.0 million and short-term investments were $340.6 million at year-end. Current assets were $761.2 million versus current liabilities of $83.5 million.

Long-term debt was $447.1 million carrying value, representing $450.0 million principal of 0.25% convertible notes due March 2026. MACOM repaid its $120.8 million term loans in August 2023. Cash and short-term investments exceeded note principal by about $64.5 million, before considering leases and other obligations.

Changes versus FY2022

  • Revenue declined 4.0%. I&D revenue rose 7.7% to $317.1 million and Data Center revenue rose 6.4% to $147.0 million; Telecom fell 24.1% to $184.3 million.
  • Telecom weakness reflected lower sales of 5G, carrier optical, broadband/video infrastructure, and legacy backhaul products, particularly in China. I&D gains reflected defense program shipments, acquisitions, GaN products, and broader analog product sales. Data Center growth included 400G and 800G products and recovery in legacy connectivity shipments.
  • Gross margin fell 70 basis points. Management attributed lower gross profit primarily to reduced sales and increased production supplies, acquisition-related headcount, depreciation, and variable costs, partly offset by lower intangible amortization.
  • Operating expenses rose 1.8% to $278.4 million; SG&A included $7.7 million of acquisition-related professional fees.
  • Net income fell sharply from FY2022, which included a $118.2 million gain on sale of an equity-method investment and a $202.8 million tax benefit from releasing valuation allowances. FY2023 included a $12.1 million non-cash tax benefit from a partial valuation-allowance release.

Outlook, risks, and notable items

The filing gives no numerical revenue or earnings guidance. Management describes potential long-term drivers as I&D portfolio expansion, cloud data-center upgrades to faster optical interconnects, and 5G and network expansion; these are expectations, not assurances. Management believes cash, investments, and operating cash generation will meet working-capital needs for at least 12 months.

  • In March and May 2023, MACOM acquired Linearizer and OMMIC-related assets for approximately $51.6 million and $36.9 million, respectively. Purchase-price allocations remained preliminary at year-end.
  • The planned Wolfspeed RF business acquisition was expected to close in FY2024 Q1, subject to conditions and regulatory approvals. Consideration: $75 million cash plus 711,528 shares; MACOM also reported $4.2 million of related transaction costs in FY2023.
  • Key disclosed risks include semiconductor cyclicality and uncertain customer orders; inventory forecasting and possible obsolescence; reliance on limited or sole-source suppliers; pricing, yield, and capacity pressures; customer and distributor concentration; competition and product-development execution; China-related trade/export restrictions and international exposure; acquisition integration; cybersecurity; and environmental and regulatory obligations.
  • Contractual obligations included $450 million of convertible-note principal due in 1–3 years, finance and operating lease payments, and purchase commitments. The filing reports $56.9 million of non-cancelable service and inventory commitments, plus $25.5 million of fixed payments under a long-term power purchase agreement.
  • The auditor issued unqualified opinions on the financial statements and internal controls. Inventory excess and obsolescence reserves were identified as a critical audit matter because they rely on estimates of future demand.

Investor verification priorities

  • Track whether Telecom revenue stabilizes and whether I&D and Data Center growth offsets continued weakness, especially in China-related demand.
  • Assess inventory growth to $136.3 million from $115.0 million, reserve adequacy, and the conversion of inventory and design wins into sales and cash.
  • Verify the Wolfspeed transaction’s closing, cash and share consideration, facility transition, and integration costs; monitor integration of the FY2023 acquisitions.
  • Review the $450 million 2026 notes’ conversion and repayment terms alongside cash, investments, lease obligations, and capital needs.
  • Distinguish recurring earnings from FY2022’s investment-sale gain and tax-allowance release, and from tax benefits recorded in FY2023.
