Telecom revenue rose 10.1% to $61.5 million, Industrial & Defense rose 5.5% to $77.2 million, and Data Center rose 35.3% to $41.5 million. Data Center growth reflected higher sales of high-performance analog products and products previously supply-constrained, partly offset by lower optical semiconductor sales. Telecom growth included $2.0 million of non-recurring license revenue.
Gross margin improvement reflected higher sales, favorable mix, production efficiencies and lower intangible amortization, partly offset by higher production supplies and employee-related costs. R&D increased 9.5% to $38.8 million; SG&A increased 4.2% to $32.9 million.
Liquidity, debt and cash flow
- At December 30, 2022, cash and cash equivalents were $126.2 million and short-term investments were $468.6 million, totaling $594.7 million in cash and short-term investments.
- Long-term debt carrying value was $566.3 million, representing $570.8 million of principal: $120.8 million of variable-rate term loans due May 2024 and $450.0 million of 0.25% convertible notes due March 2026. The term loan effective interest rate was 6.32% at quarter-end.
- Current liabilities were $93.8 million; total liabilities were $725.2 million. Cash and short-term investments exceeded debt principal by approximately $24.0 million, before other liabilities.
- Operating cash flow was $38.3 million. Investing cash flow used $8.0 million, including $9.6 million in capital expenditures; financing cash flow used $24.3 million, primarily for $26.4 million of shares withheld for employee award tax obligations.
- Management said available cash, investments and expected operating cash flows should meet working capital needs for at least the next 12 months. The company reported no off-balance-sheet arrangements.
Material changes, outlook and risks
- Prior-year net income included $114.9 million of net other income, including a $118.2 million gain on sale of an equity-method investment. The transaction generated $127.8 million of investing cash proceeds in that prior-year quarter. This makes the year-over-year decline in net income a poor indicator of the change in underlying operations.
- Management estimated an approximately 30% effective tax rate for fiscal 2023, subject to discrete tax matters. The current-quarter effective rate was 24.6%, versus 1.0% in the prior-year quarter; the earlier rate reflected a full valuation allowance against certain U.S. tax expense.
- On December 23, 2022, MACOM agreed to acquire substantially all assets and certain liabilities of French semiconductor manufacturer OMMIC SAS for approximately €38.5 million, funded with cash on hand. Closing was expected in fiscal Q2 2023, subject to regulatory approvals and customary conditions.
- Management cited demand drivers including 5G and communications infrastructure, defense and other industrial applications, and higher-speed data-center interconnects. These are business drivers, not quantified revenue guidance.
- Risks include variable-rate term-loan exposure: a 1 percentage-point rate change, assuming unchanged borrowings for a year, would change annual interest expense by approximately $1.2 million. The filing also discusses foreign-exchange, customer and supplier, and broader business risks; management said COVID-19 had not materially affected results through the quarter.
- No material legal proceedings were pending during the quarter, and the filing reported no material changes to the risk factors in the 2022 Form 10-K. Disclosure controls were assessed as effective.
Most important facts for investors to verify
- Whether revenue growth and margin gains continue, particularly in Data Center, and whether the quarter’s $2.0 million license revenue recurs.
- Whether cash conversion improves: receivables, inventories and accrued liabilities were significant uses of operating cash during the quarter.
- Progress and final economics of the OMMIC acquisition, including closing, integration and cash use.
- Term-loan refinancing or repayment plans ahead of its May 2024 maturity, and exposure to changing interest rates.
- The sustainability of the stated fiscal-year tax-rate estimate and the effects of remaining deferred-tax valuation allowances.
- Customer concentration: the top ten customers represented 52% of quarterly revenue, up from 44% in the prior-year quarter.
