Changes versus comparable periods

  • Q3 total revenue was nearly flat year over year, while the operating loss narrowed by $23.4m. Cost reductions at BioReference helped reduce its Q3 operating loss to $29.1m from $49.5m.
  • Nine-month revenue declined $137.3m, chiefly from lower COVID-19 testing and reimbursement and the 2022 GeneDx sale, which also reduced genomic testing revenue. Management cited a $184.7m decline in COVID-19 testing demand and a $49.5m reduction in genomic test revenue.
  • Nine-month operating loss narrowed by $83.0m. Pharmaceutical operating income improved to $57.2m from $9.0m, supported by milestone and licensing revenue; diagnostics remained loss-making despite lower costs.
  • Nonrecurring or milestone-driven revenue materially affected comparability: 2023 included $90.0m from FDA approval of NGENLA, $50.0m from Merck, $7.0m from Vifor and $2.5m from Nicoya. 2022 included $85.0m in Pfizer milestones and a $15.4m gain on the GeneDx sale.

Outlook, risks and unusual items

  • Management said cash on hand and borrowing availability should fund anticipated operations and debt service beyond the next 12 months, but emphasized that the estimate depends on assumptions and that sustained positive cash flow has not historically been achieved. No quantified revenue or earnings guidance was provided.
  • ModeX’s BARDA contract provides for an initial $59.0m over five years through February 2028, subject to performance and termination provisions, with up to $109.6m in additional milestone funding.
  • OPKO’s Merck agreement generated a $50.0m upfront payment; additional development and commercial milestones could total up to $872.5m, plus royalties. These prospective amounts are contingent, not committed revenue.
  • OPKO reported a disputed Israeli tax assessment of approximately $246m, including interest, and is appealing it. The filing records a $6.0m accrual related to uncertain tax positions; the assessment’s ultimate outcome is uncertain.
  • BioReference received notice of a Texas Medicaid inquiry concerning claims from 2005 onward; management could not assess its merit or potential liability. A relator amended a False Claims Act-related complaint after an earlier dismissal. The filing also describes ongoing regulatory, payor and other legal inquiries.
  • OPKO identified potential operational disruption from the Israel conflict, where it maintains office, laboratory and manufacturing facilities. Other risks include reimbursement pressure, collection estimates, product-development and commercialization uncertainty, foreign exchange exposure, and potential impairment of goodwill or intangibles.
  • Rayaldee net sales allowances and accruals were 54% of gross sales in Q3 and 55% for the nine-month period. Management also reported $19.8m of negative prior-period service-revenue adjustments for the nine months.
  • Management concluded disclosure controls were effective as of September 30, 2023; no material change in internal control over financial reporting was reported.

Most important facts for investors to verify

  • Reconcile the cash-flow presentation: the cash-flow statement reports $10.1m of operating cash provided, while MD&A describes $10.1m as cash used in operations.
  • Track cash burn, BioReference’s operating performance, and whether management’s stated liquidity runway remains credible.
  • Confirm repayment, refinancing or conversion plans for the 2025 Notes and 2023 Convertible Notes, both with maturities in 2025.
  • Assess the disputed $246m tax assessment and the Texas Medicaid and False Claims Act matters, including possible financial exposure.
  • Monitor the conversion of NGENLA approvals and milestone payments into recurring royalties or profit sharing, including U.S. launch economics not yet reflected in OPKO’s Q3 report.
  • Evaluate whether BARDA and Merck collaboration funding, and other contingent milestones, translate into cash receipts without disproportionate development costs.
