Material changes versus comparable periods
- Profitability rebounded from the prior-year loss, as revenue rose and expenses declined. Q1 2015 included $9.0 million in NB&T acquisition-related costs, so the expense and earnings comparison is not purely recurring.
- Revenue growth reflected higher net interest income and non-interest income. Year-over-year gains in electronic banking, trust and investment income, and deposit service charges were partly associated with the NB&T acquisition.
- Loans grew during the quarter, particularly consumer lending; deposits also increased, while short-term borrowings declined. Loan growth was funded in part by deposit growth and cash use.
- Net interest margin eased from Q4 2015, mainly due to a shift in funding mix and lower acquisition-related accretion income. Acquisition accretion added 12 basis points to Q1 2016 margin.
- Nonperforming loans rose from $19.5 million at year-end to $20.3 million. The allowance-to-nonperforming-loan ratio was 84.92%, down from 86.05% at year-end.
- Available-for-sale securities’ unrealized gains lifted accumulated other comprehensive income; total comprehensive income was $15.9 million. The company repurchased $5.0 million of shares during the quarter.
Outlook, risks and unusual items
- Management estimated a 2016 effective tax rate of 30%–32%. It targeted an efficiency ratio of 65% excluding acquisition-related and other non-core costs; Q1 was 64.26%.
- A core banking system conversion was planned for Q4 2016. Management anticipated approximately $1.2 million of one-time costs across the remaining quarters, with most in Q3 and Q4.
- Management described liquidity as adequate: $152.7 million of liquid assets exceeded its $72.7 million policy minimum, with an additional $69.6 million of unpledged securities. The filing reports $400.9 million of loan commitments and $22.4 million of standby letters of credit.
- Interest-rate simulations showed higher net interest income under parallel rate increases, but management cautioned that nonparallel rate movements could offset potential benefits. Key risks include credit deterioration, interest-rate and funding changes, economic conditions, competition, regulatory change, acquisition integration and cybersecurity.
- The company entered a new unsecured $15 million revolving credit facility with Raymond James in March 2016. It includes financial and operating covenants, including well-capitalized requirements and a minimum 12.5% total risk-based capital ratio. No outstanding borrowing under the facility was reported.
- Management reported no material change in risk factors, no material expected adverse effect from ordinary-course legal proceedings, and effective disclosure controls at quarter-end. No material off-balance-sheet impact was anticipated.
Important facts for investors to verify
- Whether loan growth—especially consumer and indirect auto lending—continues without worsening delinquencies, nonperforming assets or charge-offs.
- Whether Q1 earnings and the efficiency ratio are sustainable after accounting for seasonal performance-based insurance commissions and the prior-year acquisition-cost comparison.
- Actual timing and total cost of the core-system conversion, and whether it delivers the expected efficiencies.
- Capital and liquidity headroom under the Raymond James facility covenants, including any effects of further share repurchases or acquisitions.
- Whether funding costs and net interest margin respond favorably to changing rates, and whether unrealized securities gains or losses change materially.
