TDH Holdings, Inc. — FY2022 Form 20-F
Reporting period: Fiscal year ended December 31, 2022. This is an annual report, not a standalone Q4 filing. Financial statements are prepared under U.S. GAAP. Amounts below are U.S. dollars unless stated otherwise.
Business context
TDH is a British Virgin Islands holding company with operations in the United States and China. In 2022, continuing operations combined a Missouri restaurant business—acquired in October 2021—with a sharply declining petfood business. Qingdao Tiandihui entered bankruptcy proceedings in March 2022; the company discontinued petfood manufacturing in the first quarter of 2023 and said it would focus on restaurants. Restaurant revenue represented nearly all continuing-operations revenue in 2022.
Key financial results
| Metric | FY2022 | FY2021 |
|---|---|---|
| Continuing-operations revenue | $3.10 million | $1.08 million |
| Gross profit / margin | $1.05 million / 34.0% | $311,128 / 28.8% |
| Operating loss | ($3.05 million) | ($3.66 million) |
| Net income (loss), consolidated | $855,013 | ($6.72 million) |
| Net income (loss) attributable to TDH | $803,700 | ($6.12 million) |
| Cash from (used in) operating activities | ($2.07 million) | ($3.30 million) |
Restaurant revenue was $3.07 million, up from $606,463 for the two months included in 2021. Petfood revenue fell to $24,726 from $474,632. Gross margin improved, but operating expenses were $4.10 million, including $4.00 million of general and administrative costs, leaving a substantial operating loss. FY2022 consolidated net income included $4.16 million of net investment income from publicly traded equity securities; without that item, the reported operating loss underscores the limited contribution from core operations.
Liquidity, debt and capital
- At year-end, cash and cash equivalents were $21.86 million and short-term investments were $9.92 million. Current assets totaled $33.78 million and current liabilities $14.68 million; these totals include assets and liabilities classified as held for sale for the bankrupt petfood subsidiary.
- Cash and restricted cash totaled $23.15 million, including $1.29 million of court-frozen restricted cash. The company reported $4.98 million of defaulted short-term loans in liabilities held for sale. Separately, it disclosed approximately $15.71 million of defaults of indebtedness as of December 31, 2022; the filing’s different debt and claim presentations should be reconciled.
- Financing activities provided $6.06 million in 2022, primarily from a July private placement. The company issued 4.0 million shares and warrants for gross proceeds of $6.04 million and net proceeds of $6.02 million. The warrants cover up to 4.0 million additional shares at $2.44 per share. Year-end shares outstanding were 10,323,268.
- The filing reports cash used in operating activities of $2.07 million, despite one MD&A passage describing operating cash flow of approximately $0.85 million as positive. Investors should verify this inconsistency against the audited cash flow statement and supporting records.
Material changes, outlook and risks
- Going concern: The auditor’s report includes an explanatory paragraph stating substantial doubt about the company’s ability to continue as a going concern. Management plans to improve operating cash generation and seek debt or equity financing, strategic alliances, or other capital; it had no third-party funding commitments disclosed.
- Bankruptcy and claims: Tiandihui’s bankruptcy proceedings remained incomplete as of the filing date and were expected by management to conclude by the end of 2023. The filing describes vendor, lender and former-employee claims, and states that related liabilities and legal claims are subject to the proceedings. The outcome and any remaining exposure are uncertain.
- Restaurant strategy: Management’s recovery plan depends partly on operating, introducing and acquiring restaurants successfully. The business is geographically concentrated in Missouri and remains exposed to competition, food and labor costs, consumer demand and possible COVID-related disruption. No quantified financial guidance is provided.
- Investment income: Marketable securities are carried at quoted fair value, with changes recognized in earnings. The $4.16 million FY2022 investment-income contribution was material relative to revenue and operating losses, making results sensitive to investment performance.
- Controls and listing: Management concluded disclosure controls and internal control over financial reporting were ineffective at year-end, citing insufficient U.S. GAAP/SEC reporting resources and an ineffective review process. Remediation was planned by the end of 2023. Nasdaq bid-price compliance was regained after a 1-for-20 reverse split in June 2022.
- Cross-border risks: The company identifies PRC regulatory, currency-transfer, data-security, cash-access and enforcement risks. It also states that some cash is held in Chinese bank accounts that are uninsured and may not be readily deployable outside China. The auditor is California-based and the filing states it is subject to PCAOB inspection.
Most important facts for investors to verify
- Reconcile the inconsistent operating-cash-flow descriptions and clarify the company’s actual unrestricted, readily accessible liquidity, including funds held through brokers and overseas entities.
- Reconcile the $15.71 million default-of-indebtedness disclosure with the $4.98 million defaulted loans and other liabilities presented in the held-for-sale subsidiary.
- Review the auditor’s going-concern warning, the status and expected recovery impact of Tiandihui’s bankruptcy, and any unresolved vendor, lender or labor claims.
- Assess the sustainability of profitability excluding investment gains, and obtain restaurant-level performance, cash generation and expansion economics.
- Check progress on internal-control remediation, any subsequent financing or dilution, and developments affecting Nasdaq listing compliance.
