  • Management said available cash, investments and borrowings were expected to cover anticipated cash needs for at least 12 months, based on its operating plan.

Changes versus comparable periods

  • FY 2017 revenue increased $13.0 million, but gross margin fell 1.1 percentage points and the company moved from a small operating loss to a $17.0 million operating loss. R&D, sales and marketing, and G&A expenses rose to $32.2 million, $31.6 million and $18.2 million, respectively.
  • Endpoint IC revenue rose 6.4%; shipment volume of Monza R6 increased 65%, while Monza 5 volume fell 40%. Competitive pricing and product mix weighed on average selling prices.
  • Systems revenue increased 28.9%, driven by 45% higher shipment volumes. Reader and gateway deployments exceeded management’s expectations in the second half of 2017.
  • Fourth-quarter revenue was $26.9 million, down from $33.7 million in fourth-quarter 2016. Fourth-quarter gross margin declined to 48.4% from 54.6%, and net loss was $9.3 million versus net income of $0.1 million. Management cited delayed retailer deployments, lower channel inventory and a product-exchange reserve.

Outlook, management commentary and key risks

  • The filing provides no quantified revenue or earnings guidance. Management expects continued investment in R&D and sales and marketing, with operating expenses increasing in absolute dollars for the foreseeable future; software revenue is expected to remain modest in the near term.
  • RAIN adoption is uncertain and historically has been slower and more uneven than forecast. Retailer deployment delays contributed to slowing endpoint IC growth in 2017. The business also faces price erosion, quarterly demand variability and dependence on channel partners to sell and integrate products.
  • Five customers accounted for 62% of 2017 revenue; Avery, Smartrac, Arizon and Blue Star represented 18%, 14%, 13% and 10%, respectively. Impinj relies on single primary suppliers for endpoint IC wafers, reader IC wafers and readers, generally without long-term supply contracts.
  • A February 2018 partner product exchange led to a $3.2 million sales-return reserve in 2017, reducing revenue and gross profit. The company expected to recognize $3.2 million of revenue when the exchange was completed in the first half of 2018.
  • Beginning in February 2018, the company implemented a restructuring affecting approximately 9% of employees and planned to reduce leased space. Estimated charges were $3.75 million to $4.25 million, mostly expected in the first half of 2018.
  • In March 2018, Impinj amended its credit facility, including a new $20 million term loan that refinanced existing loans and made remaining proceeds available for general corporate purposes. The amendment also revised liquidity-related financial covenants.
  • A material weakness in internal control over financial reporting remained unremediated at December 31, 2017; management concluded disclosure controls were not effective. The weakness related to accounting and disclosure for complex matters and had previously led to financial-statement restatements. The auditor opined on the financial statements but did not attest to internal-control effectiveness.
  • Other notable exposures include customer and supplier concentration, inventory forecasting and obsolescence, international operations, IP disputes, privacy and security concerns, and debt covenants. The filing reports no material legal proceedings.

Important facts for investors to verify

  • Whether retailer deployments resumed and endpoint IC shipments and average selling prices stabilized after the 2017 slowdown.
  • Completion and accounting for the $3.2 million product exchange, and whether the expected 2018 revenue recognition occurred.
  • Actual restructuring costs, savings and effects on product development and sales execution.
  • Cash burn, inventory conversion, liquidity-covenant headroom and terms of the March 2018 credit amendment.
  • Progress in remediating the material weakness and any subsequent changes in financial reporting controls.
  • Customer concentration and reliance on key manufacturing suppliers, including any changes to supply availability or pricing.
