Q3 total gross margin was 78% (77% prior year); support and cloud services represented $230.9m of revenue and license revenue $163.6m. Recurring revenue was $387.2m, up 25% reported and 20% constant currency. ARR was $1.42bn, up 18% reported and 15% constant currency; organic ARR growth was 14% reported and 11% constant currency. Non-GAAP Q3 diluted EPS was $0.83 and non-GAAP operating margin was 30.5%; these measures exclude specified costs and adjustments and should be read alongside GAAP results.

At June 30, cash and cash equivalents were $365.8m, with no marketable securities. Total debt was $1.49bn ($1.479bn net of note issuance costs), including $490m drawn on a $1bn revolving facility; $493.7m was available to borrow. The weighted average cost of debt was 3.1% in Q3. PTC reported compliance with debt covenants. Current assets were $918.5m and current liabilities $746.2m.

Changes versus the prior comparable periods

  • Q3 revenue rose 24% (19% constant currency), supported by subscription growth, longer-duration license contracts and Arena. Organic revenue growth was 21% reported and 16% constant currency.
  • Q3 GAAP operating margin fell 1.1 percentage points despite higher operating income; management attributed pressure mainly to increased stock-based compensation. Non-GAAP operating margin increased to 30.5% from 29.4%.
  • Nine-month operating income and diluted EPS increased substantially. The prior-year comparison included $32.3m of restructuring and other charges; FY2021 included $0.6m.
  • Operating cash flow declined year over year in Q3, primarily due to a $17m tax payment related to a prior-period non-U.S. tax dispute and higher compensation costs. Nine-month operating cash flow increased, reflecting collections and Arena’s contribution.

Outlook, commentary, risks and unusual items

  • Management anticipated FY2021 ARR, revenue and operating-margin growth, with organic churn expected to improve slightly from FY2020. It expected about $13m of additional capital expenditures for the remainder of FY2021, planned to use operating cash to repay revolver borrowings and expected to resume share repurchases in Q4. PTC said available cash, operating cash flow and credit availability should meet requirements for at least 12 months.
  • Arena was acquired in January 2021 for approximately $715m net of cash acquired, financed partly with $600m borrowed under the credit facility. Arena added about $18m of software revenue in the first nine months; PTC expected approximately $30m of FY2021 revenue contribution, net of purchase-accounting adjustments.
  • A South Korean tax matter resulted in a $37.3m charge in the first nine months, including $34.4m related to the Korean assessment and $2.9m of U.S. tax effects. The appeal became final in May 2021; PTC made approximately $20m of additional payments in Q3 to settle amounts accrued for 2016–2021.
  • COVID-19 continued to create macroeconomic uncertainty and may affect customer purchasing, collections and future estimates. Other cited risks include large-transaction timing, SaaS adoption and competition, foreign-exchange movements, and potential churn of Rockwell alliance orders that do not convert to end-customer subscriptions.
  • A putative 401(k) fiduciary-duty class action is pending; PTC said it could not reasonably estimate the outcome’s financial effect. Other ordinary-course legal matters were assessed as immaterial, though outcomes remain uncertain.
  • On July 22, 2021, Matterport completed a business combination; PTC’s approximately $8.7m investment converted to public-company shares. PTC estimated an approximately $54m unrealized gain at that date, subject to share-price changes.

Important facts for investors to verify

  • Whether ARR and recurring-revenue growth persist organically, separately from Arena and currency effects.
  • How elevated stock-based compensation and acquisition-related costs affect GAAP margins, earnings and dilution.
  • The pace of revolver repayment, debt costs and any share repurchases relative to cash generation and liquidity needs.
  • The final accounting and cash impact of the South Korean tax settlement, valuation allowances and other tax audits.
  • The effect of COVID-19, large-deal timing, subscription conversions and Rockwell alliance orders on future revenue, churn and cash flow.
  • The subsequent-period value and earnings impact of the Matterport shares, which may fluctuate with the market price.
