Qorvo, Inc. annual report, FY2023

Qorvo, Inc. — FY2023 Form 10-K

Reporting period: Fiscal year ended April 1, 2023 (52 weeks), compared with fiscal 2022 ended April 2, 2022. Although the request metadata says “2022 Q4,” this filing is an annual report for FY2023, not a standalone quarterly filing.

Business context

Qorvo develops and sells RF, connectivity, sensor and power semiconductor products for mobile devices, infrastructure, defense and aerospace, automotive, IoT and other markets. In FY2023, it reorganized from two operating segments to three: High Performance Analog (HPA), Connectivity and Sensors Group (CSG), and Advanced Cellular Group (ACG).

Revenue and profitability fell amid weaker demand for 5G handsets, Wi-Fi components, power management and base-station products, as well as customer efforts to reduce channel inventories. Lower factory utilization, inventory charges and costs tied to a foundry capacity agreement also weighed on gross margin. Higher defense demand and acquired SiC power-product revenue partly offset declines.

Segments: HPA revenue rose 2.8% to $727.2 million, while operating income fell 5.5% to $198.8 million. CSG revenue declined 32.6% to $474.4 million and shifted to a $72.1 million operating loss. ACG revenue fell 26.8% to $2.368 billion; operating income declined 49.1% to $627.7 million.

Liquidity, debt and capital allocation

  • Cash and cash equivalents were $808.8 million at year-end, down from $972.6 million. Working capital was approximately $1.474 billion, versus $1.775 billion.
  • Long-term debt was $2.048 billion, primarily senior notes due 2024, 2029 and 2031. No revolving-facility borrowings were outstanding; the available facility is up to $300 million. The company reported compliance with its debt covenants.
  • Operating cash flow exceeded capital expenditures by approximately $684 million. Financing cash outflow was $853.4 million, mainly reflecting share repurchases.
  • Qorvo repurchased approximately 8.7 million shares for $862.2 million in FY2023; $1.705 billion remained authorized under its repurchase program at year-end. It has never paid a common-stock dividend and said it does not intend to pay one for the foreseeable future.
  • Contractual obligations totaled approximately $3.903 billion, including $2.517 billion of scheduled debt principal and interest payments and $1.204 billion of purchase obligations.

Management stated that existing cash, expected operating cash flows and available credit were sufficient for short- and long-term requirements, while cautioning that a significant demand decline or faster-than-expected growth could affect funding needs.

Material changes, unusual items and risks

  • Foundry capacity agreement: Weaker-than-expected 5G handset demand led to a $181.0 million FY2023 cost-of-goods-sold impact: $130.0 million impairment of a prepaid refundable deposit, approximately $20.0 million of additional inventory reserves and a $31.0 million estimated future shortfall liability. Further charges are possible if forecasts weaken.
  • Restructuring and biotechnology business: Qorvo stopped further investment in its non-core biotechnology business and began seeking strategic alternatives. FY2023 restructuring charges totaled $126.5 million, including approximately $74.8 million of equipment and inventory impairments and $12.4 million of goodwill impairment. Management did not expect additional material charges from these FY2023 initiatives.
  • Customer concentration: Apple represented 37% of revenue and Samsung 12%, compared with 33% and 11%, respectively, in FY2022. The two together accounted for about 49% of FY2023 revenue.
  • Geographic exposure: International shipments were 49% of revenue; shipments to China represented approximately 21%. The filing cites U.S.–China trade and export restrictions, China-related demand and manufacturing exposure, geopolitical tensions, and currency movements as risks.
  • Other key risks include demand volatility and short product cycles, design-win competition, supplier dependence, manufacturing yields and fixed-cost underutilization, inventory obsolescence, cybersecurity and IP exposure, and the ability to attract technical employees.
  • No numerical forward revenue or earnings guidance is provided in the supplied filing text. Management describes long-term opportunities in connectivity, 5G, defense, electrification and power efficiency, but emphasizes uncertain demand and macroeconomic conditions.

Investor verification checklist

  • Confirm that the $181.0 million capacity-agreement charge, its remaining commitments and potential for additional charges are reflected appropriately in forecasts.
  • Assess whether customer demand and channel inventory levels—particularly for Apple-linked mobile products, 5G handsets and Wi-Fi—are recovering, and consider the concentration represented by the top two customers.
  • Track segment margins and factory utilization, especially the CSG loss and ACG’s lower operating margin, against any demand improvement.
  • Review cash generation, the 2024 Notes maturity, purchase commitments and the pace of share repurchases relative to liquidity and investment needs.
  • Evaluate the outcome and remaining costs of the biotechnology-business strategic review and restructuring, along with inventory-reserve assumptions.
