Approximately $476.8 million of cash was held by foreign subsidiaries.

Material changes versus FY2018

  • Revenue grew 3.9%, driven by mobile-product demand supporting China-based customers and higher base-station demand; weakness in marquee smartphone demand from the largest end customer partly offset growth.
  • MP revenue increased to $2.198 billion from $2.181 billion; segment operating margin was 25.4% versus 25.2%.
  • IDP revenue rose 13.2% to $892.7 million; segment operating margin was 29.9%, unchanged. Management cited base-station demand as the main driver.
  • Gross margin was essentially flat: selling-price erosion was offset by favorable product mix. Consolidated operating income improved mainly with lower intangible amortization, higher revenue and lower impairment charges.
  • Apple-related sales represented 32% of revenue, down from 36%; Huawei represented 13%, up from 8%.
  • Cash from operations declined $42.2 million, mainly due to working-capital movements and higher tax payments. Capital expenditures fell $48.9 million.

Outlook, risks and unusual items

  • Outlook: The filing provides no specific revenue or earnings guidance. Management said existing cash, projected operating cash flow and the credit facility should be sufficient for short- and long-term requirements, while noting that a significant demand decline or faster-than-expected growth could strain operating cash flow.
  • Huawei/export restrictions: On May 16, 2019, the U.S. Department of Commerce placed Huawei and affiliates on the Entity List, restricting Qorvo sales absent a license. Huawei generated 13% of FY2019 revenue. Management said the restrictions’ scope, duration and future business impact could not be predicted as of the filing date.
  • Restructuring and capacity: Qorvo began a phased closure of a Florida SAW facility and idled a Texas BAW facility amid manufacturing overcapacity. FY2019 included $15.9 million of property-and-equipment impairment, $21.3 million of accelerated depreciation, and restructuring-related costs. Additional FY2020 charges were expected, including $45–55 million of accelerated depreciation, $5–10 million of termination benefits and $5–10 million of other exit costs.
  • Debt refinancing: Qorvo issued $900 million of 5.50% notes due 2026 and repurchased or redeemed nearly all of its 2023 and most of its 2025 notes. The transactions resulted in a $90.2 million debt-extinguishment loss. At year-end, $900 million principal of 2026 notes and $23.4 million of 2025 notes remained outstanding.
  • Capital returns: Qorvo repurchased 9.1 million shares for $638.1 million during FY2019; $397.9 million remained authorized for future repurchases at year-end.
  • Tax: FY2019 included a $41.3 million income-tax benefit, with a reported effective tax rate of negative 45.0%, affected by tax credits, Tax Act adjustments and GILTI-related items. Tax outcomes and unrecognized tax positions remain a source of estimation uncertainty.
  • Acquisition after year-end: Qorvo completed its acquisition of Active-Semi on May 6, 2019 for approximately $325 million in cash. The acquired power-management business is expected to become part of IDP.
  • Other risks: High customer concentration, short product cycles and design-win competition, international and China exposure, supplier and manufacturing-yield risks, fixed-cost underutilization, trade restrictions, and potential product-quality, cybersecurity and IP issues could affect results. The filing reports no material adverse expected effect from ordinary-course legal proceedings; no off-balance-sheet arrangements were reported.

Important facts for investors to verify

  • How Huawei export restrictions affect sales, receivables and customer diversification after the filing date.
  • Whether mobile demand and major-customer design wins support growth, particularly given Apple’s 32% revenue concentration.
  • Progress and realized savings from the Florida closure and Texas facility idling, including remaining restructuring and depreciation charges.
  • Cash generation, working-capital needs, capital spending and liquidity after the $325 million Active-Semi acquisition and substantial share repurchases.
  • Debt terms, repayment obligations and covenant headroom; year-end debt carrying value was $919.3 million, with $923.4 million of note principal outstanding before unamortized issuance costs.
  • Tax benefits, deferred-tax-asset recoverability and uncertain tax positions, which materially affected reported net income.
