Royal Gold, Inc. — Form 10-Q Summary
Reporting period: Quarter and nine months ended March 31, 2013. Although the request labels this “2012 Q3,” the filing covers Royal Gold’s fiscal 2013 third quarter. Financial statements are unaudited.
Business context and reporting period
Royal Gold acquires and manages precious-metals royalties, streams and similar interests; it does not operate mines or generally fund their operating costs. At quarter-end, it reported interests in 36 producing, 23 development-stage and 146 exploration-stage properties. Results depend principally on metal prices and production reported by mine operators.
Financial performance and liquidity
- Quarter revenue: $74.2 million, up 6.5% from $69.6 million. Operating income was $42.9 million, essentially flat year over year. Net income attributable to Royal Gold stockholders was $6.5 million, or $0.10 per diluted share, versus $26.0 million, or $0.44, a year earlier.
- Nine-month revenue: $231.9 million, up 14.3% from $202.9 million. Operating income was $141.6 million versus $119.8 million. Stockholder net income was $58.5 million, or $0.93 per diluted share, compared with $71.9 million, or $1.26.
- Margins and taxes: Quarter operating income was 57.9% of revenue; nine-month operating income was 61.1%. Effective tax rates were 72.6% for the quarter and 46.1% for the nine months, versus 35.6% and 34.8%, respectively, in the prior-year periods.
- Cash flow: Nine-month operating cash flow was $132.5 million, compared with $122.9 million. Investing activities used $276.9 million, principally for royalty acquisitions; financing provided $442.0 million. Cash increased by $297.6 million to $673.1 million.
- Balance sheet and debt: At March 31, cash and equivalents were $673.1 million, total assets $2.894 billion, and total liabilities $516.0 million. Current assets of $749.0 million exceeded current liabilities of $21.6 million; the reported current ratio was 35:1. Debt carrying value was $300.0 million, comprising $370 million principal of 2.875% convertible notes due 2019. The $350 million revolving facility had no borrowings outstanding; the company reported covenant compliance.
- Dividends and equity: The October 2012 stock offering of 5.25 million shares at $90 per share generated $472.5 million before expenses. The company raised its 2013 annual dividend to $0.80 per share, payable quarterly at $0.20.
Material changes versus prior comparable periods
- Quarterly royalty revenue increased despite lower average prices for gold, silver, copper and nickel. Andacollo, Holt and Wolverine contributed to growth; lower production at Peñasquito and Voisey’s Bay (nickel) partly offset it.
- Nine-month revenue growth reflected increased production at Andacollo, Holt, Mulatos and Robinson, and ramp-ups at Canadian Malartic and Wolverine; lower metal prices and weaker production at certain properties offset some gains.
- Quarter net income fell sharply mainly because of a $12.1 million other-than-temporary impairment charge on the Seabridge investment. Interest expense also rose following issuance of the 2019 notes, and the October share issuance increased the share count and affected year-to-date per-share comparisons.
- General and administrative expense rose to $7.2 million for the quarter from $4.4 million, primarily due to legal, tax and consulting costs related to business development. Nine-month expense was $19.0 million versus $15.8 million.
- The Seabridge securities impairment was recorded in earnings; the company said the original cost basis had been overstated by $2.4 million and was corrected during the quarter.
Outlook, commentary, risks and contingencies
- Management said existing financial resources and operating cash generation should cover anticipated debt service, overhead, exploration, capital needs, dividends and acquisition commitments for the foreseeable future. No company-wide revenue or earnings guidance is provided in the filing; production estimates are supplied by mine operators and are not independently verified by Royal Gold.
- Mt. Milligan construction was reported 81% complete at December 31, 2012, with initial production expected in calendar Q3 2013 and commercial production in Q4. Royal Gold had paid $731.6 million of its $781.5 million commitment; scheduled remaining payments were $37 million in June 2013 and $12.9 million in September 2013, subject to contractual conditions.
- Pascua-Lama faced significant schedule and regulatory uncertainty. Barrick reported a Chilean court injunction and suspension of construction on the Chilean side in April 2013, while work in Argentina was not affected. Water-management requirements and environmental issues remained outstanding; Barrick said it could not yet fully assess effects on cost or schedule. Royal Gold’s filing cited prior operator expectations for initial production in the second half of 2014, but those expectations were subject to change.
- Other operating developments included lower Cortez production, which Royal Gold expected to persist until Barrick returned to steady-state mining at the Pipeline Complex, and production disruptions at Voisey’s Bay. Operator estimates and mine performance may differ from expectations.
- Royal Gold’s Voisey’s Bay royalty litigation against Vale entities remained in discovery. The claim alleges underpayment and seeks at least $29 million in past damages, plus additional damages, interest and costs; the filing reported no material litigation development during the quarter.
- Metal-price exposure is material: gold represented about 71% of nine-month revenue. The filing estimated that a 10% change in average prices would change nine-month revenue by approximately $17.4–$17.7 million for gold, $2.9 million for copper, $2.5 million for nickel and $1.8 million for silver.
- Other noted risks include mine production and development delays, operator funding or execution problems, permitting and environmental restrictions, foreign-country and currency risks, and uncertainty in acquiring and valuing royalty interests. A $3.1 million tax expense related to an error identified in the annual tax provision-to-return process was assessed by management as immaterial to the prior-year annual filing.
