For the six months ended March 31, operating cash flow was $35.0 million, down from $42.1 million. Investing cash outflow was $80.6 million, mainly reflecting the MPC acquisition; financing cash outflow was $30.3 million. Cash and cash equivalents were $192.1 million at March 31, versus $268.0 million at September 30, 2023. Current assets were $291.0 million and current liabilities $89.6 million. RMR reported no credit facilities and no off-balance-sheet arrangements expected to have a material effect.
Debt was limited to the mortgage assumed with the MPC acquisition: $4.8 million carrying value at March 31, with $5.4 million aggregate principal outstanding. The fixed-rate loan bears 3.71% interest and matures in August 2029. The filing does not provide a company-level cash-flow margin or a separate standardized operating-margin measure; reported total revenue includes substantial pass-through reimbursements.
Material changes versus the prior comparable period
- Quarterly operating income fell 34.0% and six-month operating income fell 41.3%. RMR cited acquisition-related compensation and overhead, integration costs, higher separation costs in the six-month period, and increased depreciation and amortization.
- Net income attributable to RMR Inc. fell 68.3% for the quarter and 48.2% for six months. The comparison was affected by a $25.9 million gain on the TA investment in the prior-year quarter; TA was acquired by BP in May 2023 and its management agreement ended.
- Six-month management, incentive and advisory revenue declined 1.7%. The loss of TA management fees was partly offset by revenue from MPC, acquired in December 2023. MPC contributed $6.2 million of management-services revenue in the six-month period and $5.5 billion of assets under management, according to management.
- Total revenue rose despite lower six-month fee revenue, primarily because reimbursable revenue increased. Corresponding reimbursable expenses rose by the same amount, so this gross-revenue increase did not add operating income.
- RMR paid $0.80 per Class A and Class B-1 share during the six-month period. In April 2024, it declared a subsequent $0.45-per-share quarterly dividend, payable in May.
Outlook, commentary, risks and unusual items
Management plans to grow and diversify private-capital activities, including through new real estate investment funds and potential commercial mortgage lending. In April 2024, RMR accepted an application for a proposed $40 million floating-rate first mortgage loan secured by a hotel property and said it planned additional loans, potentially financed through a bank repurchase facility. The application and financing plan are subsequent developments, not completed investments or committed financing disclosed as of quarter-end. No numeric earnings or revenue guidance was provided.
RMR completed its MPC acquisition on December 19, 2023. Consideration recorded was $99.0 million, comprising $84.5 million cash consideration and a $14.5 million estimated earnout liability; the earnout liability was remeasured to $14.8 million by March 31. The earnout may reach $20 million, subject to deployment of remaining fund commitments. RMR also agreed to $4.2 million in employee retention payments through December 2025. Purchase-price allocation remains subject to finalization, and management identified valuation estimates and earnout assumptions as significant areas of judgment.
Management cited macroeconomic uncertainty, elevated interest rates, inflation and higher operating costs, weaker commercial real estate transactions, tighter lending standards and potential effects on clients and their tenants. RMR’s revenues depend on a limited number of clients and their performance, market capitalizations and management agreements. Substantially all revenue is from related parties. The filing describes extensive related-party relationships, including with ABP Trust and companies managed by RMR, and notes that related-party transactions may create actual or perceived conflicts of interest. RMR also disclosed that some cash balances exceed FDIC insurance limits.
RMR’s controls and procedures were assessed as effective. The company is integrating MPC into its systems and control environment, with integration work expected to continue through September 30, 2024. The filing reported no material changes to the risk factors in its prior annual report.
