Revenue grew 54% year over year, which management attributed to new product launches and expanded Nora Pharma marketing and sales. Cost of sales rose faster than revenue, and gross margin declined by about 6.1 percentage points. Operating and net losses narrowed. Current assets were $28.83 million and current liabilities $6.53 million, implying working capital of approximately $22.30 million. The balance sheet lists lease liabilities, earnout payable, payables and tax liabilities; it does not list interest-bearing borrowings.

Investing cash outflow was $0.67 million, primarily including $0.64 million for intangible assets. Financing provided $5.40 million, including $8.52 million net public-offering proceeds, partly offset by a $3.14 million warrant repurchase. Cash paid for income taxes was $0.96 million.

Changes, outlook and risks

  • On February 15, 2024, the company completed an underwritten offering that generated $8.52 million net proceeds. It also repurchased April and May investor warrants for $3.14 million. All 450,000 pre-funded warrants from the offering were exercised by March 31.
  • Management says existing cash should fund pharmaceutical sales operations and R&D for the next 24 months, but cautions that this estimate may be inaccurate. It says revenue is not adequate to fully implement its business plan, has no committed capital sources, and expects to need additional capital; acceptable financing may not be available.
  • Nora Pharma had 52 generic drugs on the Canadian market and planned 32 additional launches in 2024–2025. NIOPEG received Health Canada marketing approval on April 17, 2024, after quarter-end. Management believes new products can strengthen its Canadian market position; the filing gives no quantified revenue guidance.
  • Adva-27a development is paused after unfavorable laboratory results, pending review and possible chemical modification. K1.1 mRNA and SBFM-PL4 were at animal-testing stages; the filing reports ongoing work to confirm K1.1 results.
  • Canadian generic-drug prices are subject to government reimbursement policy. Updated prices for certain products took effect October 1, 2023; a federal PharmaCare bill tabled in February 2024 could, if enacted, change drug reimbursement arrangements.
  • After quarter-end, the April 17, 2024 1-for-100 reverse split was reflected retroactively in share and warrant information. The company subsequently issued 17,950,523 common shares through cashless exercise of 8,975,262 Series A warrants. It reported 18,945,052 common shares outstanding on May 17, 2024. The warrant terms and potential dilution merit close review.
  • On April 24, 2024, the company paid approximately $2.29 million toward the Nora Pharma earnout; the filing reports a remaining balance of approximately $355,000. On May 3, the SEC announced a settlement with the company’s former auditor, BF Borgers CPA PC, including a permanent SEC practice ban. The company dismissed Borgers and engaged Bush & Associates CPA LLC on May 7.
  • Management concluded disclosure controls were effective at March 31, 2024, and reported no material legal proceedings or material changes in internal control during the quarter.

Important facts for investors to verify

  • The statements report loss per share of $(2.00) for Q1 2024 and $(7.73) for Q1 2023, while MD&A states $(0.02) and $(0.08), respectively. Clarify the discrepancy and confirm the applicable reverse-split-adjusted figures.
  • Reconcile the reported cash-flow change and foreign-exchange items with the movement in cash balances, and assess the drivers of operating cash use, including inventory and prepaid-expense growth.
  • Review the post-quarter cashless warrant exercises, remaining warrant overhang, reverse-split adjustments, and resulting fully diluted share count.
  • Assess whether the stated 24-month cash runway remains achievable after the earnout payment and given operating cash burn, planned launches, R&D needs, and potential financing requirements.
  • Monitor generic pricing and reimbursement policy changes, product-launch execution and NIOPEG commercialization, as well as development results for K1.1 and SBFM-PL4.
  • Review the transition to the new auditor and any implications of the former auditor’s SEC settlement for future reporting and audit processes.
