The $40 million facility matures in May 2024; the company reported covenant compliance at year-end but had no extension or refinancing agreement in place as of the filing.

Material changes versus the prior comparable period

  • Revenue declined $5.1 million, or 1.3%, as lower renewals and custom deliveries in digital and national television offset growth in Activation, campaign ratings, local TV and movies.
  • Net loss increased by $12.8 million. Goodwill impairment rose to $78.2 million from $46.3 million; the 2023 charge was non-cash. Lower intangible amortization and operating expense reductions helped operating loss improve slightly.
  • Operating cash flow fell $6.0 million, while capitalized internal-use software spending contributed to investing outflows increasing by $6.0 million.
  • Non-U.S. revenue declined to $35.6 million from $38.6 million. Revenue from the top 10 customers was 37% of total, versus 34% in 2022.

Outlook, management commentary, risks and unusual items

  • Management expected advertising-market softness to continue into 2024, citing inflation, higher interest rates and other economic pressures on customers’ ad spending. The filing provides no numerical revenue or earnings guidance.
  • The 2022 restructuring plan, with estimated total exit-related costs of $10–15 million, is expected to be substantially complete in 2024. The company recorded $6.2 million of restructuring expense in 2023.
  • Preferred-stock dividends were deferred twice in 2023. Accrued dividends totaled $24.1 million at year-end and continue to accrue at 9.5% until paid; payment is due on or before June 30, 2024, subject to conditions. Preferred holders also have rights relating to a potential special dividend.
  • The Charter data-license relationship is subject to a dispute: Comscore raised concerns about Charter’s compliance, and Charter alleged breaches by Comscore. Neither party had indicated an intent to terminate, and the parties were discussing resolution. Termination could accelerate amounts due and expose Comscore to claimed liquidated damages.
  • Other notable risks include the revolver maturity and covenant requirements, substantial preferred-stock rights and potential dilution, customer and third-party data dependence, privacy and cookie-deprecation changes, competition, and foreign-exchange exposure. The company recorded a $2.8 million foreign-currency transaction loss in 2023.
  • In December 2023, Comscore effected a 1-for-20 reverse stock split. In January 2024, activist investor 180 Degree Capital notified the company of its intent to nominate a director and submit a proposal for the 2024 annual meeting.
  • The auditor issued unqualified opinions on the financial statements and internal control over financial reporting; management also concluded controls were effective. The auditor identified complex-contract revenue recognition and goodwill impairment as critical audit matters.

Important facts for investors to verify

  3. Progress and financial impact of the Charter data-license dispute, including any changes to data access, obligations or termination risk.
  4. Renewal trends, performance of Digital Ad Solutions and customer concentration as advertising conditions evolve.
  5. Whether restructuring savings materialize and whether further goodwill or other asset impairments are required.
  6. Potential common-share dilution from convertible preferred stock, warrants, equity awards and any deferred Shareablee consideration.
