SWK Holdings Corp. — 2015 Form 10-K
Reporting period: Fiscal year ended December 31, 2015; comparison is with fiscal 2014. This is an annual report, not a standalone fourth-quarter filing. SWK provides specialty financing and royalty-based capital to life-sciences businesses, alongside investment advisory services. The financial statements received an unqualified audit opinion.

- Revenue rose about 35%, led by finance-receivable interest and fees of $17.27 million, up from $11.54 million, and unconsolidated-investment income of $5.88 million, versus $5.34 million.
- The year’s results included a $10.85 million loan credit-loss provision, $6.64 million security impairment expense, and a $3.31 million net fair-value loss on warrants. General and administrative expense was $3.38 million, compared with $3.28 million.
- SWK reported a $3.27 million income-tax provision in 2015, versus a $10.30 million tax benefit in 2014, when it released part of its deferred-tax valuation allowance. The tax benefit contributed materially to the prior-year profit.
- Operating cash flow was positive, but investing activities used $18.88 million, primarily for net finance-receivable originations; financing activities used $3.77 million, mainly distributions to non-controlling interests. Cash declined by $11.44 million during 2015.
- No balance was outstanding on the Carlson-affiliated credit facility at year-end; its draw period had expired and no availability remained. Year-end liquidity included $47.29 million cash. Debt-to-equity or conventional operating-margin measures are not presented as headline metrics in the filing.
Material changes and portfolio developments
- Finance receivables before allowance increased to $106.43 million from $93.35 million; the year-end allowance was $7.08 million, compared with none in 2014.
- Four term loans associated with three portfolio companies were on nonaccrual at year-end, with a net carrying value of $20.09 million, versus one loan at $5.97 million a year earlier. Two loans totaling $12.5 million were identified as impaired.
- Significant credit events included Response Genetics’ Chapter 11 filing and asset sale, and SynCardia’s covenant and interest-payment default, forbearance, and impairment charges. B&D Dental was also in default and nonaccrual, although SWK said collateral value exceeded the unpaid balance. A payment from ABT Molecular Imaging was blocked by its first-lien lender.
- Two partner companies accounted for 44% of total revenue in 2015, compared with 61% in 2014, leaving material partner and portfolio concentration exposure.
- SWK effected a reverse/forward stock split in October 2015; reported share and per-share data are adjusted retroactively. Carlson-affiliated funds held about 69% of the company’s voting ownership at year-end.
Outlook, risks and subsequent events
- Management said income from the existing portfolio was expected to exceed operating expenses in 2016 and that book value was expected to begin growing. It also cited potential investments but cautioned that timing is difficult to predict; there is no quantified earnings or revenue guidance.
- Key risks include borrower defaults and collateral recovery, royalty-product sales and third-party marketing, regulatory and reimbursement changes in life sciences, competition, limited operating history, financing access, concentration, and the company’s small team. SWK also highlighted the risk of restrictions on its $405.0 million federal NOL carryforwards, most of which expire by 2021, and the risk that it could fail to qualify for an Investment Company Act exclusion.
- As of year-end, unfunded loan commitments totaled $7.3 million, including contingent amounts; the filing reported $5.3 million remaining as of March 2016. Up to $0.8 million of additional Cambia royalty consideration was contingent on sales thresholds.
- After year-end, CEO Brett Pope resigned effective January 12, 2016, and Winston Black became CEO. Tribute repaid $13.0 million of obligations on February 5, 2016. SWK also reported additional ABT and Nanosphere financing activity in February 2016.
- Management reported effective disclosure controls and internal control over financial reporting as of December 31, 2015. The auditor did not provide an internal-control attestation.
Important facts for investors to verify
- Current status, collectability, collateral values, and subsequent cash recoveries for nonaccrual and impaired exposures, particularly SynCardia, Response Genetics, B&D Dental, and ABT Molecular Imaging.
- Whether management’s 2016 expectation that portfolio income would cover operating costs and support book-value growth was realized, and how much depends on the Holmdel investment and concentrated revenue sources.
- Remaining unfunded commitments and contingent payments, alongside available liquidity and any new funding arrangements.
- Tax-asset realizability, NOL ownership-change limitations and expiration schedule, and the basis for the recorded $16.83 million deferred tax asset.
- The effects of Carlson’s controlling ownership and governance rights, and SWK’s continuing compliance with Investment Company Act exclusions.
