Tactile Systems Technology, Inc. — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023; comparisons are primarily with FY2022. Tactile Medical develops at-home medical devices, principally for lymphedema and chronic venous insufficiency, and also sells airway-clearance devices for chronic respiratory conditions.
Financial performance
| Metric | FY2023 | FY2022 | Change / context |
|---|---|---|---|
| Revenue | $274.4 million | $246.8 million | Up 11% |
| Gross profit / margin | $195.1 million / 71% | $176.0 million / 71% | Margin unchanged |
| Operating income (loss) | $18.0 million | $(12.8) million | Improved $30.8 million |
| Net income (loss) | $28.5 million | $(17.9) million | Includes a significant income tax benefit |
| Diluted EPS | $1.23 | $(0.89) | Improved from loss |
| Cash from operations | $35.9 million | $5.2 million | Increase reflected improved earnings and lower receivables |
- Lymphedema products generated $241.7 million, up 14%, and 88% of revenue. Airway-clearance revenue was $32.7 million, down 5%, and 12% of revenue.
- Sales revenue rose 13% to $239.5 million; rental revenue decreased 1% to $34.9 million. Cost of revenue increased 12% to $79.3 million.
- Operating expenses were $177.1 million, down 6%, largely because 2022 included a substantial AffloVest earn-out fair-value expense. FY2023 also included a $2.5 million earn-out fair-value benefit.
Liquidity, cash flow and debt
- At year-end, cash and cash equivalents were $61.0 million, versus $21.9 million a year earlier. Current assets were $145.3 million and current liabilities $41.1 million.
- Net accounts receivable was approximately $54.1 million, including $10.9 million classified as non-current. Medicare Flexitouch receivables were approximately $17.1 million; initial claim denials and lengthy appeals create collection uncertainty.
- Investing cash outflow was $2.5 million. Financing cash inflow was $5.7 million, including $34.6 million net proceeds from a February 2023 share offering, offset in part by debt and earn-out payments.
- Year-end borrowings were $29.3 million, all term debt; the revolving credit facility was fully repaid in December. The term loan bore interest at 7.73% at year-end, matures August 1, 2026, and is secured by substantially all company assets. The company reported compliance with its financial covenants.
- Management stated existing cash and expected operating cash flows should meet working capital, capital expenditure and debt-service needs for at least the next 12 months.
Material changes, outlook and notable items
- Lymphedema growth was attributed to improved field-sales productivity and new product introductions, including Entre Plus. AffloVest revenue declined after a large DME provider slowed placements following the expiration of COVID-era eligibility waivers.
- Medicare increased to 24% of revenue from 19%; private insurers and other payers represented approximately 54%, the Veterans Administration 10%, and DME distributors 12%.
- The $12.7 million income tax benefit was principally driven by releasing the valuation allowance on deferred tax assets. The company concluded that $19.4 million of additional deferred tax assets were more likely than not realizable, citing three years of cumulative U.S. federal pretax income. This tax benefit materially increased reported net income relative to pretax income of $15.8 million.
- Management expects revenue to continue growing through greater awareness, commercial expansion, marketing and reimbursement efforts, but gave no numerical revenue or earnings guidance. It also anticipates private-payer pricing pressure and expects sales and marketing and R&D spending to rise in absolute dollars.
- Revenue is seasonal: commercial-insurance demand is typically lower in the first quarter and higher in the third and fourth quarters as patients meet deductibles or use flexible spending accounts.
- A shareholder derivative lawsuit related to allegations also involved in a previously settled securities class action remained pending; the parties reported a non-binding settlement in principle in July 2023. The filing does not state a final resolution or a quantified loss.
- Principal risks include reimbursement and Medicare coverage changes, disputed Medicare local coverage criteria, dependence on lymphedema products, supplier concentration, DME-channel dependence for AffloVest, competition, regulatory compliance, cybersecurity and debt covenants. One vendor accounted for 25% of FY2023 purchases. The filing reports no material cybersecurity incident to date.
- The auditor issued an unqualified opinion on the financial statements and internal controls. The auditor identified payer transaction-price estimates for uncollected commercial and Medicare lymphedema sales as a critical audit matter, given the judgment involved and Medicare appeal uncertainty.
Key facts for investors to verify
- Whether the tax valuation-allowance release and deferred tax asset realizability assumptions remain supportable; distinguish recurring operating performance from the tax-driven net-income benefit.
- Medicare claim collections, aging and appeal outcomes, including the amounts and timing of the reported Medicare receivables.
- Whether the AffloVest DME provider slowdown persists and whether respiratory revenue stabilizes or returns to growth.
- Developments in Medicare coverage criteria and the pending dispute over the local coverage determination, as well as any payer reimbursement or pricing changes.
- Debt-service capacity at the variable 7.73% year-end rate, covenant headroom, and the effect of the secured credit facility.
- Progress and financial impact of the derivative lawsuit settlement, if finalized.
