Interest expense, net, was $74,000. Cash increased by $1.12 million during the quarter, primarily reflecting $1.92 million from option exercises and related excess tax benefits, partly offset by debt repayment, share repurchases and capital spending. The operating cash outflow reflected working-capital use, including prepaid registry fees and receivables, partly offset by higher deferred revenue and accounts payable.
Material changes versus the prior comparable period
- Ting revenue increased 186% to $6.71 million, from $2.35 million; subscribers grew to 61,000 from 16,000, and devices under management to 94,000 from 26,000. Ting accounted for 19% of revenue, versus 8%.
- Domain Services revenue was broadly flat at $27.69 million. Wholesale domain revenue declined $0.25 million, partly because two customers obtained their own registrar accreditations. Retail revenue rose 23% to $2.38 million; portfolio revenue was approximately flat.
- Sales and marketing expense rose 41% to $4.02 million, primarily reflecting Ting customer acquisition and support costs. Cost of revenue increased 9% to $25.64 million, less than revenue growth, and gross margin improved.
- Currency-forward losses increased to $0.55 million from $0.23 million. The company reported a $0.91 million derivative liability at quarter-end.
- Net income increased to $0.48 million from $0.08 million. Q1 2014 also included a $0.25 million impairment/write-off of indefinite-life domain-name assets; no such charge was recorded in Q1 2013.
Outlook, management commentary and risks
- Management said operating cash flow should be adequate for working capital, capital expenditures and loan repayments for at least the next 12 months. It expected fiscal 2014 sales and marketing, technical operations and development, and general and administrative expenses to increase slightly in absolute dollars.
- The company cited intensified competition and price pressure in domain services, uncertainty around ICANN’s new gTLD program and potential additional costs to pursue contested gTLD rights. Domain registrations processed were 2.48 million, approximately flat year over year.
- Ting depends on its mobile network operator successfully modernizing and maintaining network capacity and coverage. Failure could impair subscriber growth, service delivery and margins.
- Revenue is primarily in U.S. dollars while a significant share of expenses is in Canadian dollars. Management’s sensitivity analysis estimated that a hypothetical 10% adverse exchange-rate movement would reduce quarterly net income by approximately $0.7 million; hedges may not fully offset currency movements.
- The $14 million credit facility is secured by substantially all company assets and includes financial covenants. Tucows reported compliance at March 31, 2014. Its $20 million share repurchase authorization began in March 2014; $82,286 of shares were repurchased in the quarter.
- Management said ordinary-course legal claims were not expected to have a material adverse effect, while noting litigation may still involve significant expense and diversion of attention. No material subsequent events were reported.
Important facts for investors to verify

- Whether operating cash flow improves as prepaid registry costs, receivables and other working-capital needs fluctuate.
- The effect of Canadian-dollar movements and forward-contract settlements on earnings, cash flow and the reported derivative liability.
- Domain customer retention, pricing pressure and the financial consequences of new gTLD competition or further customer accreditation changes.
- Debt repayment and covenant headroom, and the pace and funding of share repurchases relative to liquidity needs.
