Material changes versus comparable periods
- Net income fell 39% year over year, and diluted EPS declined from $0.15 to $0.09. Net interest income decreased 4.6%; management attributed pressure partly to holding substantial funds in short-term, low-yielding cash amid the low-rate environment.
- Noninterest expense rose $0.174 million, including higher salaries and benefits, advertising, and other expenses. Noninterest income was unchanged overall, but courtesy-overdraft service fees declined about $39,000 year over year following Dodd-Frank-related program changes.
- Management cited improved overall loan quality and lower net charge-offs as reasons the loan-loss provision declined $14,000 year over year. The allowance nevertheless increased $0.266 million from year-end.
- Deposits declined $14.284 million from year-end. Management said part of the prior oil-and-gas-related deposit inflow was temporary and flowed out, including for tax payments; it expected some further outflow over the next three to six months but said it was not expected to be material to overall liquidity.
- Average loans grew 5.1% year over year to $295.8 million, although period-end gross loans declined $0.923 million from year-end. Securities declined about $5.7 million from year-end, with management citing called bonds and limited reinvestment opportunities.
- Quarterly dividends were $0.07 per share, versus $0.14 in Q1 2012. Management stated a current dividend yield of 3.8%.
Outlook, commentary, and risks
There is no quantified earnings or revenue guidance. Management expects loan-growth momentum to continue, citing resources added to lending, and plans to lend selectively while retaining high liquidity rather than extending investment maturities to pursue yield. It described the current low-rate environment and regulatory burden as pressures on profitability, while expressing confidence in the company’s capital, management, and community-bank position.
Key stated uncertainties include economic conditions in the bank’s markets, regulatory changes, interest-rate fluctuations, loan demand, competition, credit quality, and the possible runoff of temporary deposits. The allowance for loan losses depends on estimates of borrower repayment, collateral values, and economic conditions and could require adjustment. The filing reports no material change in previously disclosed risk factors, no significant change in market-risk disclosures, and no material litigation beyond routine matters. Management concluded disclosure controls were effective and reported no material quarterly change in internal control over financial reporting.
One commercial real-estate loan was restructured during the quarter; its post-modification recorded investment was $0.313 million, and the restructuring increased the allowance by $20,000. Management reported no material defaults on TDRs modified in the prior 12 months. Securities with unrealized losses were considered temporarily impaired; management said it did not intend, and was not more likely than not required, to sell them before recovery.
Important facts for investors to verify
- Whether lower net interest margin and low yields on cash continue to pressure earnings, and how the company balances liquidity with loan growth.
- Whether deposit outflows continue, particularly the runoff of oil-and-gas-related balances, and the resulting effect on funding costs and liquidity.
- Whether the rise in nonaccrual and past-due loans persists, and whether the allowance remains adequate as credit conditions and collateral values change.
- Whether expense growth moderates and the reduced courtesy-overdraft fees remain a continuing drag on noninterest income.
- Whether the stated dividend level is supported by future earnings and capital generation; the filing does not guarantee future dividends.
