Utah Medical Products, Inc. — FY 2011 Form 10-K
Reporting period: Fiscal year ended December 31, 2011. Unless otherwise noted, amounts are in thousands of U.S. dollars, except per-share data. UTMD develops and manufactures specialized medical devices, including products for gynecology, obstetrics, neonatal care, and blood-pressure monitoring.
Business context and major transaction
On March 18, 2011, UTMD acquired Femcare Holdings Ltd., known for the Filshie Clip female-sterilization system, for net cash consideration of $41.084 million. Femcare’s results are included from the acquisition date; the 2011 comparison with 2010 therefore includes only part of a year of Femcare operations. Femcare contributed approximately $13.275 million of 2011 revenue and $2.326 million of after-tax net income. It materially shifted the product mix toward gynecology/electrosurgery/urology and increased international exposure.

Gross-margin gains reflected manufacturing efficiencies, consolidation of Oregon molding into Utah, product mix, and Femcare direct sales at end-user prices. Operating and net margins declined as acquisition-related expenses, intangible amortization, higher operating costs, and interest expense weighed on results. Interest expense was $859,000 versus $25,000 in 2010. Year-end total liabilities were $35.632 million, including $8.549 million of deferred tax liability related to acquired intangibles. Management said cash generation supported faster-than-required debt repayment while maintaining dividends.
International sales rose to $19.007 million, or 50% of consolidated sales, from $7.690 million, or 31%, in 2010. Gynecology/electrosurgery/urology sales increased to $19.196 million from $5.888 million, largely reflecting Femcare. Obstetrics sales declined to $5.742 million from $5.940 million; neonatal sales were $6.951 million versus $7.295 million; blood-pressure monitoring and accessories were $5.971 million versus $5.998 million.
Fourth-quarter comparison: Sales were $9.907 million versus $6.208 million in Q4 2010; gross profit was $5.913 million versus $3.284 million; net income was $1.858 million versus $1.509 million; diluted EPS was $0.51 versus $0.41.
Material changes, outlook, and risks
- Management projected 2012 revenue and gross-profit growth of about 9%, operating-income growth of 13–15%, pretax-income growth of 14–17%, and EPS of $2.35–$2.40, or 15–18% growth. It expected lower interest expense, reduced duplicate G&A costs, and benefits from integrating Femcare, while anticipating continued amortization of acquired intangibles.
- Management expected international sales to lead growth, including expanded direct selling in the UK and Ireland and cross-distribution of UTMD and Femcare products. It also planned to introduce three gynecology products. These are projections, not guarantees.
- Principal stated risks include medical-device regulation and approval delays; healthcare reform and the scheduled medical-device excise tax; hospital and group-purchasing organization contracting and price pressure; reliance on overseas distributors; foreign-exchange fluctuations; product-liability exposure; and key-employee retention.
- Debt increased materially to finance Femcare. The loans carry financial covenants, including leverage, interest-coverage, and tangible-net-worth requirements. Management estimated repayment of Femcare loans in about three years and stated all notes were scheduled to be repaid by April 2016.
- UTMD reported no litigation it believed could materially affect financial results, while disclosing ongoing legal matters it expected to resolve for immaterial amounts. The company is self-insured for product liability in the U.S. and Ireland; Femcare carries third-party coverage.
- Cash dividends paid were $3.433 million in 2011 versus $6.030 million in 2010, which included a special dividend. UTMD made no share repurchases during 2011.
- Management and the independent auditor concluded internal control over financial reporting was effective at year-end. The auditor issued an unqualified opinion on the financial statements and controls.
Important facts for investors to verify
- How much of growth and earnings improvement is sustainable after accounting for Femcare’s partial-year contribution; compare reported results with the filing’s pro forma combined revenue and net income.
- Debt repayment progress, covenant compliance, variable-rate exposure, and the effect of debt service on liquidity and shareholder distributions.
- Femcare purchase-price allocation, remaining valuation uncertainty, goodwill impairment assumptions, and the substantial ongoing amortization expense.
- Whether international distribution integration and direct-selling expansion deliver the projected sales and margin benefits, given currency and regional demand risks.
- Whether the 2012 guidance assumptions—including sales growth, expense reductions, interest costs, tax rates, and margin improvement—are being achieved.
- Developments in product-liability and other legal matters, and the adequacy of reserves and insurance coverage.
