TeraWulf Inc. — 2021 Form 10-K Summary
Business context and reporting period
TeraWulf is an early-stage U.S. bitcoin-mining company pursuing a strategy centered on low-cost, zero-carbon power. Its planned Lake Mariner facility in New York is wholly owned; the Nautilus facility in Pennsylvania is a 50%-owned joint venture with Talen. The company targets 800 MW of aggregate net mining capacity and more than 23 EH/s by 2025, and targets 100% zero-carbon energy by 2028.
The fiscal year ended December 31, 2021, but the financial statements cover the nine months from April 1 to December 31, 2021, following a change in fiscal year-end, and compare against the company’s shorter inception period, February 8 to March 31, 2021. Results are therefore not directly comparable. TeraWulf completed its reverse-merger business combination with IKONICS on December 13, 2021; IKONICS was classified as held for sale and discontinued operations.

Changes, outlook, risks and unusual items
- Lake Mariner began mining in March 2022, after the reporting period. It had secured 90 MW of power from NYPA, with potential for an additional 410 MW; a 10-year power agreement was executed in February 2022.
- Nautilus was under development at year-end. TeraWulf planned to begin mining there in 2022 and expected to contribute $156 million to the joint venture; the contribution schedule was subsequently extended to the third quarter of 2022. Talen holds three of five manager appointments, and TeraWulf accounts for the venture using the equity method.
- Management expects to finance construction and operations with mining cash flow and additional debt or equity. The filing states that substantial doubt exists about the company’s ability to continue as a going concern for at least the next twelve months, because it has recurring losses, negative operating cash flow, significant commitments, and depends on future fundraising.
- At December 31, 2021, disclosed remaining commitments included approximately $131.0 million for two Lake Mariner Bitmain miner agreements and $50.2 million of Nautilus capital contributions. Further miner and facility spending was planned. An at-the-market equity program of up to $200 million was established in February 2022; approximately $4.3 million of net proceeds had been raised by March 28, 2022.
- Major risks include bitcoin-price and network-difficulty volatility, competition, miner supply and construction delays, capital availability and shareholder dilution, evolving regulation, cybersecurity and custody risks, and the Nautilus joint-venture governance structure. The filing also notes Minerva delivery delays and extensive dependence on related-party Beowulf E&D for services.
- Related-party arrangements warrant attention: Beowulf E&D is controlled by the CEO and receives service fees, expense reimbursements and equity incentives. The Lake Mariner site is leased from an entity controlled by the CEO. The term loan also includes a $15 million investment from a management-affiliated lender.
- No material pending legal proceedings were reported. The company did not pay dividends and does not expect to do so in the foreseeable future. No formal financial guidance is provided.
Key facts for investors to verify
- Whether financing raised after year-end is sufficient to meet miner-payment, construction and Nautilus funding obligations, and how those needs affect the going-concern assessment.
- Actual facility commissioning dates, deployed MW and hash rate, miner delivery and purchase costs, and realized power costs versus management’s stated low-cost expectations.
- Bitcoin production, sales and operating economics once operations scale, including sensitivity to bitcoin prices, network difficulty and future block-reward reductions.
- Terms, governance and funding exposure of the Nautilus joint venture, including Talen’s board majority and the revised capital-contribution timing.
- Progress and proceeds from the planned IKONICS divestiture, including contingent value rights payable to former IKONICS shareholders.
- Subsequent equity issuance and dilution, remaining borrowing capacity and compliance with the term-loan covenants.
- Related-party fees, reimbursements and incentives, and the company’s ability to scale from a very small employee base while relying on affiliates.
