Changes versus prior comparable periods
- Q3 operating expenses increased 55% year over year, driven principally by R&D, which rose 124% to $9.7 million. Clinical-trial and sponsored-research costs increased $3.4 million in the quarter.
- Nine-month R&D more than doubled to $20.9 million, chiefly reflecting increased clinical activity, supplies, and staffing.
- G&A declined 59% in Q3 and 17% for the nine-month period. The main offset was lower share-based compensation versus 2014, when substantial option grants were immediately vested.
- Operating cash use rose to $22.6 million from $8.2 million for the first nine months; construction and equipment spending also increased. Cash rose mainly because of the IPO and other equity financing.
Outlook, developments, and risks
- Management expects substantial and increasing operating losses as it advances development programs, and says future profitability depends on successful approval and commercialization. No quantitative earnings or cash-flow guidance is provided.
- Xilonix: enrollment was completed in the Phase III symptomatic colorectal cancer study, with 61 subjects randomized and dosed. Management said an EMA marketing-approval submission could occur by year-end 2015 depending on study results; potential 2017 revenue was conditional on approval and successful commercialization.
- 514G3: the first dose cohort in a Phase I/II study for serious Staphylococcus aureus infections was enrolled, and sites were cleared to advance to the next dose level.
- The Austin manufacturing facility was under construction. Management expected building completion in March 2016 and product validation in July 2016; clean-room construction was scheduled to begin in Q4 2015.
- Management said clinical costs would increase as studies expand. The Pyoderma Gangrenosum regulatory program was on hold indefinitely pending results from later-stage programs. R&D spending is not tracked by individual candidate, limiting program-level cost visibility.
- Key risks include clinical-trial outcomes, regulatory approval, commercialization, and continued cash consumption. The filing says there were no material changes to previously disclosed risk factors, no material litigation, and no off-balance-sheet arrangements. Management reported disclosure controls were effective.
Investor verification points
- Verify subsequent Xilonix trial results, regulatory-submission timing, and the basis for management’s conditional revenue timeline.
- Track 514G3 dose escalation and the timing and scope of planned geographic expansion of clinical studies.
- Check manufacturing-facility completion and validation against the stated schedule, including associated spending.
- Monitor cash burn and financing needs against the $105.7 million cash balance; the filing does not provide a clear cash-runway estimate.
- Clarify the subsequent-events note’s reported option exercise: the share count is rendered as “13,1500,” while stated proceeds are approximately $359,877.
