Changes and segment results
- Sales increased 2%; management cited 1% volume growth, favorable pricing of $43 million, and unfavorable foreign exchange of $23 million. Global automotive production declined 1% (also down 1% on Aptiv’s weighted-market basis).
- Signal and Power Solutions sales were $3.487 billion, up from $3.464 billion; adjusted operating income was $389 million versus $374 million.
- Advanced Safety and User Experience sales were $1.429 billion, up from $1.366 billion; adjusted operating income rose to $155 million from $63 million. Aptiv defines this as a non-GAAP segment measure.
- Gross margin improvement reflected operational performance and currency effects, partly offset by volume and other costs. SG&A increased to $366 million from $342 million; restructuring expense rose to $39 million from $11 million.
- Income tax expense increased to $76 million from $34 million; the effective tax rate was 21% versus 12%. Q1 2024 included approximately $7 million of net discrete tax expense and an unfavorable impact from the global minimum-tax framework.
- Equity-method losses were $69 million, primarily attributable to Motional, versus $82 million a year earlier. Other income was $15 million, compared with expense of $1 million; Q1 2023 included an $18 million investment impairment.
Liquidity, capital allocation and outlook
- Aptiv repurchased 7.35 million shares for $600 million at an average $81.66 per share. Approximately $1.015 billion remained under the authorized program at March 31.
- Management expects cash, available liquidity and operating cash flows to be sufficient for operations, restructuring, capital expenditures and debt obligations, and said it expects to continue repurchases.
- Approved restructuring programs were expected to incur approximately $60 million of additional charges within 12 months; approximately $50 million was expected for the global salaried-headcount program through the remainder of 2024. Management expected about $105 million of restructuring cash payments over the next 12 months.
- No specific consolidated revenue or earnings guidance is provided in the supplied filing text.
- After quarter-end, Aptiv and Hyundai agreed that Hyundai would invest $475 million in Motional and buy an 11% common interest from Aptiv for approximately $448 million. Aptiv also agreed to exchange about 21% of its common interest for preferred shares. Subject to approvals and closing conditions, Aptiv anticipated retaining approximately 15% common equity and no longer participating in future funding rounds.
Risks, contingencies and unusual items
- Key exposures include automotive production cyclicality, customer pricing pressure, inflation and commodity volatility, foreign exchange, supply disruptions (including semiconductors), geopolitical and trade developments, labor actions, and changing EV demand. Aptiv noted that some OEM customers have delayed electric-vehicle investment plans.
- Customers have raised potential responsibility for costs from past supply disruptions. Aptiv said a loss was not considered probable and recorded no reserve as of March 31, 2024.
- Warranty reserves were $61 million; the reasonably possible additional amount to resolve warranty matters above recorded reserves was estimated at zero to $25 million. Aptiv said ordinary-course litigation was not expected to materially affect its financial position, results or cash flows. Environmental reserves were approximately $4 million.
- Restructuring charges and cash spending increased substantially year over year. Q1 share repurchases were a major use of financing cash, contributing to the $699 million decline in cash during the quarter.
- The filing notes a $2.080 billion net income tax benefit in the second half of 2023 related to intellectual-property transfers and associated tax effects; this is a significant prior-period item for investors assessing tax comparability.
Important facts for investors to verify
