Revenue Mix and Material Changes

  • Media services: RMB2,011.4 million, or 27.8% of revenue, down 41.8%. Average revenue per automaker advertiser declined 41.1% to RMB22.1 million as automakers reduced advertising budgets amid the global semiconductor shortage and higher raw-material prices.
  • Leads-generation services: RMB2,988.1 million, or 41.3% of revenue, down 6.6%, primarily due to lower dealer marketing spending. Dealers served declined to 23,669 from 24,517.
  • Online marketplace and other services: RMB2,237.5 million, or 30.9% of revenue, up 11.6%, driven by data products and consolidation of TTP, the used-vehicle auction platform.
  • Cost of revenues increased 9.0% to RMB1,047.9 million, reducing gross margin. Other costs rose primarily because of TTP consolidation.
  • Sales and marketing expense declined 15.0% to RMB2,759.9 million, but increased to 38.1% of revenue. General and administrative expense rose 42.4% to RMB543.8 million, and product development expense increased 2.5% to RMB1,398.0 million.
  • Other operating income declined to RMB294.2 million from RMB443.2 million, primarily because of lower government subsidies.
  • Income tax expense declined to RMB34.0 million from RMB260.9 million, helped by lower taxable income and recognition of preferential tax treatments.

Cash Flow, Liquidity and Capital Allocation

  • Operating cash flow was RMB3,523.9 million, supported by a RMB931.4 million reduction in accounts receivable and non-cash expenses including RMB206.1 million of share-based compensation.
  • Investing cash outflow was RMB3,813.0 million, primarily reflecting purchases of term deposits and adjustable-rate financial products, capital expenditures and TTP-related payments.
  • Financing cash inflow was RMB2,898.3 million, mainly reflecting net proceeds from the Hong Kong offering, partly offset by dividends and share repurchases.
  • The company paid approximately US$105.7 million of cash dividends for fiscal 2021 and maintains a policy targeting approximately 20% of prior-year net income, subject to board approval, cash availability and legal restrictions.
  • PRC subsidiaries paid RMB681.4 million in dividends to offshore subsidiaries in 2021. Net assets of PRC subsidiaries and VIEs totaling approximately RMB4.925 billion were restricted from transfer under PRC law.
  • The company reported an overdue financial product and recognized a RMB164.1 million loss. Short-term investments totaled RMB16.5 billion at year-end and therefore represent a material investment and counterparty exposure.

Guidance, Outlook, Risks and Unusual Items

The filing provides no formal 2022 revenue or earnings guidance. Management expects liquidity to be sufficient for at least the next 12 months and intends to continue investing in AI, big data, cloud, data products, transaction services and its automotive ecosystem.

  • Key operating risks include continued weakness in China’s automotive market, automaker and dealer budget reductions, semiconductor shortages, raw-material inflation, COVID-19 disruptions, competition and customer concentration.
  • The Cayman Islands parent does not own equity in the VIEs. It relies on contractual arrangements that may be difficult to enforce and have not been tested in PRC courts. VIE revenue represented 13.1% of consolidated revenue in 2021.
  • PRC regulation of VIE structures, cybersecurity, data privacy, online content, anti-monopoly matters and overseas listings is evolving. Required licenses or approvals could be delayed, restricted or revoked.
  • The PCAOB identified the company’s mainland China auditor as subject to inspection limitations. The company warned that its ADSs could face U.S. trading prohibitions under the HFCAA if inspection restrictions continue for the applicable period.
  • TTP’s convertible redeemable noncontrolling interests were classified as mezzanine equity and increased to RMB1,468.0 million after RMB411.8 million of accretion in 2021. Valuation depends on significant assumptions, including revenue growth, discount rates and market multiples.
  • Goodwill was RMB4,071.4 million and no impairment was recorded. Future impairment could materially reduce earnings and equity.
  • Ping An Group, through Yun Chen, owned approximately 44.8% of the company’s voting rights as of March 31, 2022. Related-party revenue was RMB417.1 million in 2021, while cash and investments held with Ping An-affiliated institutions totaled RMB4,144.8 million at year-end.
  • The company authorized a US$200 million repurchase program in November 2021 and had repurchased approximately 1.1 million ADSs by March 31, 2022.

Investor Verification Checklist

  • Verify whether automaker advertising budgets and media-services revenue recover after the 2021 semiconductor-related decline.
  • Assess dealer retention, pricing power and monetization of leads-generation services.
  • Review TTP’s operating performance, mezzanine-equity valuation and potential future impairment or redemption obligations.
  • Evaluate the liquidity, credit quality and overdue status of the RMB16.5 billion short-term investment portfolio.
  • Monitor VIE enforceability, PRC licensing, cybersecurity and data-security developments.
  • Confirm PCAOB inspection status and any SEC, NYSE or HFCAA action affecting ADS trading.
  • Reconcile restricted PRC net assets and dividend capacity with the company’s dividend and repurchase plans.
  • Review related-party transactions and cash management arrangements with Ping An Group.
