Liquidity, capital structure and balance sheet

  • Cash, cash equivalents, restricted cash and short-term investments totaled RMB12.8 billion (approximately US$1.84 billion) at December 31, 2019, up from RMB10.1 billion at December 31, 2018.
  • Total current assets were RMB16.36 billion and current liabilities were RMB3.97 billion, indicating substantial reported current liquidity.
  • Total liabilities were RMB4.55 billion versus total equity of RMB14.61 billion. The filing does not disclose material conventional borrowings or outstanding debt securities; reported liabilities primarily comprise operating payables, deferred revenue, tax liabilities and lease obligations.
  • Accounts receivable increased to RMB3.23 billion from RMB2.80 billion. The allowance for doubtful accounts increased to RMB34.0 million from RMB3.6 million.
  • Capital expenditures increased to RMB204.1 million from RMB113.8 million, primarily for servers and software.

  • Management stated that existing cash and anticipated operating cash flow should meet anticipated needs for at least the next 12 months.

Material changes versus the prior comparable period

  • Revenue growth remained strong, but operating and net margins declined as marketing and product-development investments grew faster than revenue.
  • Operating cash flow declined despite higher net income, largely because accounts receivable increased by RMB479.5 million and deferred revenue declined by RMB139.8 million.
  • Online marketplace and other revenue accelerated, driven principally by data products and auto-financing, while direct vehicle sales remained discontinued following the company’s shift to an asset-light model.
  • The number of automakers purchasing media services declined to 92 from 103, although average revenue per automaker increased 16.6% to RMB39.7 million.
  • Dealers receiving leads-generation services declined to 27,100 from 28,613, while average revenue per paying dealer increased 20.5% to RMB120.9 thousand.
  • The company adopted the new lease accounting standard in 2019, recognizing operating lease right-of-use assets and lease liabilities. The 2018 comparative figures were not restated.
  • Revenue recognition under ASC 606 presents VAT net of revenue and cost of revenue for 2018 and 2019. Prior periods are not directly comparable without adjustment.

Guidance, outlook, commentary, risks and unusual items

Management emphasized continued transformation from a content-led automotive media business into a data- and technology-driven automotive ecosystem. Priorities include expanding data products, intelligent marketing tools, mobile services, auto-financing, used-car transaction facilitation and overseas operations.

The filing does not provide quantitative full-year 2020 revenue or earnings guidance. It states that COVID-19-related shutdowns, delayed business resumption, lower automobile production and sales, reduced customer marketing budgets, slower collections and disruption to offline activities were likely to adversely affect first-quarter 2020 results. Management could not reasonably estimate the impact on the remainder of 2020.

  • China’s automotive market experienced declining new-vehicle purchases in 2019, creating pressure on automaker and dealer advertising budgets and accounts receivable collection.
  • Revenue is concentrated within the automotive ecosystem; the top five automaker advertisers contributed 24.0% of 2019 media-services revenue.
  • The company relies on advertising agencies for a substantial portion of sales and collections, exposing it to agency credit and payment-timing risk.
  • The company operates important internet-content activities through VIE contractual arrangements rather than direct ownership. Changes in PRC regulation or enforcement could impair control, licensing, consolidation or access to economic benefits.
  • Data privacy, cybersecurity, online-content, advertising, insurance-brokerage and auto-finance regulations remain significant compliance risks.
  • Ping An Group, through Yun Chen, controlled approximately 51.9% of voting rights as of February 29, 2020. The company uses controlled-company exemptions from certain NYSE governance requirements.
  • The company invested US$100 million in an 8% convertible bond issued by TTP Car Inc.; the bond matures June 11, 2021 unless extended and is subject to conversion and impairment risks.
  • The auditor identified revenue recognition and the estimation of sales rebates as a critical audit matter. Accrued rebates were RMB683.9 million at December 31, 2019.
  • The board adopted a regular dividend policy targeting approximately 20% of prior-year net income, subject to board discretion and legal, liquidity and subsidiary-distribution constraints. A US$0.77 per share dividend for 2019 was declared in February 2020.
  • Management and the auditor concluded that internal control over financial reporting was effective as of December 31, 2019, and no material legal proceedings were disclosed.

Most important facts for an investor to verify

  • Whether revenue growth in data products, auto-financing and transaction facilitation can offset weakness in China’s automotive advertising market.
  • Collections, aging and allowance coverage for the RMB3.23 billion accounts-receivable balance, particularly balances related to automakers and advertising agencies.
  • The effect of COVID-19 and subsequent industry conditions on 2020 revenue, margins, cash flow and customer spending.
  • The sustainability of high gross margins after elevated marketing and product-development investment.
  • The legal and regulatory durability of the PRC VIE structure, including licensing, foreign-investment and data-security requirements.
  • The terms, collectability, conversion prospects and valuation of the TTP convertible bond and related warrant.
  • The availability of cash held within PRC subsidiaries and VIEs for dividends or other transfers to the Cayman Islands parent, given RMB13.31 billion of restricted net assets at year-end.
  • The assumptions supporting the RMB683.9 million sales-rebate accrual and the impact of customer concentration and related-party transactions with Ping An Group.
