Debt, liquidity and capital

  • Quarter-end debt principal was approximately $2.19 billion; total debt carrying value was $2.18 billion. Fixed-rate debt represented 94.2%, and the weighted-average interest rate was 5.3%. Unrestricted cash was $43.2 million.
  • The company reported $523.7 million of available unsecured credit facility capacity, net of letters of credit. It was in compliance with debt covenants at March 31, 2024.
  • $340 million of principal was scheduled for the remainder of 2024, primarily the 4.10% notes due October 2024. After quarter-end, the company issued $400 million of 8.875% notes due 2029, receiving approximately $391.8 million net proceeds. It launched a tender for the 2024 notes; any notes remaining after the tender were called for redemption, with June 7, 2024 expected as the redemption date.
  • Moody’s and S&P ratings were Ba1 and BB+, respectively, both with negative outlooks. Rating downgrades increased the 2028 notes’ coupon to 8.05% and could raise future funding costs or limit access to unsecured debt markets.
  • The quarterly distribution was $0.15 per share, versus $0.19 in Q1 2023. Investing cash outflow included $27.0 million invested in unconsolidated ventures and property capital expenditures and leasing costs.

Outlook, risks and unusual items

  • No specific earnings or FFO guidance was provided. Management expects remaining 2024 capital needs to be funded by operating cash flow, venture distributions, cash, credit availability, financing and asset sales; current development and redevelopment projects are expected to be a primary use of capital.
  • Management cautioned that vacancies, weaker effective rents, higher tenant installation costs and defaults could pressure cash flow. It cited inflation, higher interest rates and uncertain economic conditions as risks; access to attractive financing is not assured.
  • Several venture loans faced maturity or restructuring discussions: the MAP Venture’s $179.1 million mortgage matured February 27, 2024; the Mid-Atlantic Office JV’s loan matured January 9, 2024; and Herndon Innovation Center’s $233.4 million mortgage matured March 29, 2024. The company reported no assurance of extensions or restructuring outcomes. Its MAP Venture investment was negative $52.2 million, but it stated it had no obligation to provide additional equity. The company had zero investment balances in the latter two ventures and had stopped equity-method accounting because it had not guaranteed or committed support.
  • Cira Square’s loan maturity was extended from April 1 to July 1, 2024, with further discussions ongoing. The 3151 Market Street venture had not secured expected construction financing as of the filing; after its partner funds its remaining commitment, Brandywine may need to fund remaining development costs until financing is obtained. Venture development guarantees and other commitments also create potential funding exposure.
  • Legal proceedings were described as routine, with no expected material adverse effect. No material changes to previously disclosed risk factors were reported.

Investor verification points

  • Confirm the completion, pricing and use of proceeds of the 2029 notes offering, and the amount of 2024 notes tendered and ultimately redeemed.
  • Track refinancing or restructuring outcomes for the MAP, Mid-Atlantic Office, Herndon and Cira Square ventures, including any effect on Brandywine’s obligations or equity-method losses.
  • Monitor occupancy, leasing costs, tenant retention and rent growth alongside negative absorption and the 2024 lease expirations.
  • Assess liquidity and covenant headroom after debt refinancing, planned development spending and any funding required for 3151 Market Street or venture guarantees.
  • Compare GAAP losses with NOI and FFO: both NOI and FFO are non-GAAP measures, and FFO declined year over year despite modest NOI growth.
