  • Cash from operating activities was $672.9 million; cash used in financing activities was $648.2 million. Cash distributions paid were $423.4 million, and share repurchases used $263.0 million.
  • Management reported $987.0 million of unused credit-facility capacity, subject to borrowing-base availability, in addition to cash. It also identified $144.5 million of Level 2 debt investments as potential additional liquidity.
  • Investment income rose 36%, largely as higher reference rates increased interest received on the floating-rate portfolio. Debt-investment yield at fair value rose to 10.73% from 7.21%; 99.9% of debt investments were floating-rate. The weighted-average borrowing rate increased to 3.46% from 2.92%.
  • Portfolio fair value comprised 97.95% first-lien debt, 0.48% second-lien debt and 1.57% equity. The portfolio covered 176 companies, versus 148 a year earlier; weighted-average LTV was 47.5%, versus 44.0%.
  • No portfolio loans were on non-accrual at year-end. PIK interest income increased to $40.3 million from $8.2 million.

Changes versus 2021

  • Higher rates and portfolio income lifted net investment income, but the increase in investment income was partly offset by higher expenses: interest expense rose 69% to $203.6 million, and management fees rose to $101.7 million before $25.4 million of waivers.
  • Operating results declined despite higher net investment income: net unrealized depreciation of $122.1 million replaced the prior-year $104.2 million appreciation. Management attributed the valuation decline primarily to lower debt-investment fair values amid inflation and changes in the economic outlook.
  • Portfolio fair value decreased about 2.4%, while the portfolio expanded to more companies. New investment commitments were materially lower than in 2021; 2022 acquisitions totaled $1.11 billion of principal, including unfunded commitments, versus $6.83 billion in new investments purchased in 2021 at amortized cost.
  • Asset coverage declined from 180.2% to 174.8%. Unfunded delayed-draw and revolving commitments fell to $690.3 million from $1.41 billion.
  • Distributions declared totaled $2.91 per share, including special distributions, versus $2.03 in 2021. The fund repurchased 10.96 million shares for approximately $263.0 million under a plan that ended in November 2022.

Outlook, risks and unusual items

  • No formal earnings or portfolio guidance is provided. Management said higher rates can support investment income, but may also weaken borrower cash flow and credit quality, particularly if rates rise alongside economic weakness. Future income will also depend on originations, repayments and interest-rate changes.
  • The filing highlights inflation, supply-chain and labor pressures, recession risk, market volatility, funding costs and restricted capital-market access as risks to borrowers, collateral values, portfolio valuations and BXSL’s liquidity. A rate sensitivity analysis estimates annualized net-income impact, excluding incentive fees, of approximately +$72.7 million for a 100-basis-point increase and $(72.7) million for a 100-basis-point decrease, assuming no change in investment or borrowing structure.
  • Valuation is a significant judgment area: $9.47 billion of the $9.62 billion investment portfolio was Level 3. The auditor identified valuation of Level 3 debt investments using yield analysis as a critical audit matter. Deloitte issued unqualified opinions on the financial statements and internal controls.
  • Leverage magnifies gains and losses. Credit facilities are secured and impose covenants; the fund must maintain at least 150% asset coverage. Management reported covenant compliance at year-end. The 2023 Notes mature in July 2023, and the fund may need refinancing, repayment from borrowing, asset sales or other funding as debt matures.
  • Adviser incentive fees, related-party arrangements, allocation of opportunities among Blackstone funds, and use of affiliated service providers create potential conflicts. The adviser waived portions of management and incentive fees during the post-IPO waiver period; those waivers are not recoupable.
  • After year-end, the Board authorized a one-year repurchase plan of up to $250 million at prices below NAV and declared a $0.70-per-share distribution payable April 27, 2023. These are subsequent developments, not 2022 operating results.

Important facts for investors to verify

  • Track whether rising portfolio yields continue to exceed higher borrowing costs and incentive fees, and whether borrowers remain able to service floating-rate debt.
  • Review Level 3 valuation assumptions, including comparable market yields and portfolio-company credit performance; fair values may differ from proceeds realized on sale.
  • Assess liquidity against unfunded commitments, borrowing-base limits, upcoming debt maturities and the fund’s 150% asset-coverage requirement.
  • Confirm the sustainability and tax character of distributions. Declared 2022 distributions exceeded cash distributions paid because some were reinvested through the DRIP; some distributions may be a return of capital.
  • Monitor portfolio concentrations, including software (14.72% of investment fair value) and healthcare providers and services (11.66%), along with any developing non-accruals or restructurings.
  • Consider market-price performance separately from NAV: the filing reports 2022 total return of 10.26% based on NAV and negative 26.12% based on market value. As of February 24, 2023, shares closed at $25.29, a 2.5% discount to year-end NAV.
