Changes versus FY2020
- Revenue increased 26%; profit for the year more than doubled, and adjusted EBITDA rose about 43%.
- Higher gold prices and a 5% increase in gold sold supported revenue growth. Production improved as operations were more stable than in FY2020, which had been affected by South Africa’s COVID-19 lockdown, ramp-up delays and power interruptions.
- Capital additions increased to R395.7m from R181.1m, reflecting Ergo infrastructure and processing work and FWGR Phase 2 studies, a new thickener and other upgrades.
- Cash and cash equivalents increased by R464.9m. Net operating cash inflow was partly offset by investing outflows of R446.6m and financing outflows of R653.5m, primarily dividends.
- Ore reserves fell to 5.35m ounces from 5.73m ounces, mainly from depletion. Reported mine life was 13 years at Ergo and 18 years at FWGR.
Outlook, risks and contingencies
- FY2022 guidance: Group production of 160,000–180,000 ounces, cash operating cost of approximately R600,000 per kilogram and capital investment of approximately R600m. Management cautioned that COVID-19, grades, throughput, power interruptions, supply-chain disruption and cost inflation could affect targets.
- Post-period operating update: In the unaudited September 2021 quarter, production was 1,449kg, up 7% from the June quarter; adjusted EBITDA was R350.8m. Management said the company remained in a position to consider an interim dividend, subject to circumstances.
- FWGR Phase 2: The definitive feasibility study was completed, but regulatory approval of the amended regional tailings storage facility design remained outstanding. The facility’s construction was expected to begin in the first half of FY2024, later than the earlier FY2022 expectation. The project requires significant financing; management expected a mix of cash resources, operating cash flow and facilities.
- Operating and market exposure: The group is unhedged and exposed to gold-price and rand-dollar movements. Electricity tariffs, Eskom reliability, water availability, labor costs, tailings-storage capacity, production interruptions, crime and COVID-19 remain material risks. A sustained fall in gold revenue or rand strengthening could pressure profitability.
- Environmental obligations: The recorded rehabilitation provision was R570.8m; estimated undiscounted costs were R742.2m. Trust funds, insurance instruments and guarantees support these obligations, but future costs or regulatory requirements could exceed estimates.
- Legal matters: Ergo’s electricity-tariff dispute with Ekurhuleni included two municipal claims totaling R105.6m; the company reported confidence in its legal position. It also recorded R40.5m of payments under protest as an asset and asserted a contingent counterclaim of approximately R43m. Occupational lung-disease litigation remains unresolved and unquantified. Potential environmental liabilities associated with mine residue and acid mine drainage could not be reliably estimated.
- Ownership and governance: Sibanye-Stillwater owned 50.1% and controlled the company. This may create conflicts with minority shareholders. KPMG identified environmental rehabilitation, deferred tax liabilities and the Rand Refinery investment valuation as critical audit matters; it nevertheless concluded the financial statements were fairly presented and internal control over financial reporting was effective.
Most important facts for investors to verify

- The status, timing, approvals, capital cost and financing plan for FWGR Phase 2 and the Ergo tailings-storage expansion.
- Actual cash generation, spending and remaining liquidity, including the RCF’s terms, maturity and covenant headroom.

- Reserve replacement and the assumptions supporting reported reserves and mine lives, plus the impact of higher electricity, labor and water costs.
- Dividend declarations and payments: FY2021 cash dividends paid were reported as R641.3m in the equity note; the R342.0m final dividend was declared after year-end and paid September 27, 2021.
