Material changes versus the prior comparable period
- The Life Storage merger materially increased the asset base, revenue, debt, depreciation and amortization, and share count. Consideration totaled approximately $12.85 billion, including $11.35 billion of common stock, $249.5 million of OP units, and $1.192 billion of debt repayment.
- Common shares outstanding increased to 211.3 million at September 30, 2023 from 133.9 million at December 31, 2022, substantially affecting per-share results.
- Life Storage merger transition costs were $54.2 million in Q3 and the first nine months; no comparable costs were recorded in 2022.
- Interest expense increased to $122.9 million in Q3 from $56.2 million, and the company recorded $8.2 million of non-cash interest expense from amortization of the Life Storage debt discount.
- Depreciation and amortization increased to $152.3 million in Q3 from $71.4 million, primarily because of acquired stores.
- Same-store operating momentum moderated: occupancy declined one percentage point, new-lease pricing fell, and same-store NOI growth was only 0.7% in Q3.
- The company issued $950.0 million of public bonds on a net basis during the first nine months and increased its unsecured revolving credit commitment to $2.0 billion, with a June 2027 maturity.
Outlook, risks, contingencies and unusual items
Management stated that operating cash flow, cash on hand, revolving-credit availability and access to capital markets are expected to meet reasonably anticipated cash needs over the next 12 months, including debt service, recurring capital expenditures, acquisitions, distributions and dividends required to maintain REIT status. Management expects positive operating cash flow for 2023 but noted that weaker cash generation could increase reliance on credit facilities, reduce capital expenditures or require additional financing.
The company held credit ratings of BBB+/Stable from S&P and Baa2 from Moody’s and stated that it intends to manage the balance sheet to maintain these ratings. It had 1,664 unencumbered stores and reported unencumbered asset value of approximately $32.0 billion under public-bond calculations.
Interest-rate exposure remains material. Approximately $3.4 billion of debt was subject to variable rates, excluding debt with swaps; a 100-basis-point increase in SOFR would increase annual interest expense and reduce earnings and cash flow by approximately $33.5 million, based on the company’s sensitivity analysis. The company had 17 interest-rate derivatives with a combined notional amount of $1.665 billion.
Key risks include integration and realization of expected benefits from Life Storage, competition and potential declines in occupancy or rents, higher interest rates and refinancing risk, capital-market disruptions, asset impairments, regulatory and REIT qualification risks, cyberattacks, uninsured losses, environmental liabilities, litigation, and natural disasters or other macroeconomic disruptions.
As of September 30, 2023, the company was committed to acquire 15 stores for $199.8 million and two additional stores with joint-venture partners for a total investment of $2.9 million. The company also reported ordinary-course litigation and claims whose outcomes could not presently be determined.
