- For the six months, operating cash flow was a use of $407.3, compared with a use of $30.3 in the prior-year period. Investing provided $46.0, largely from digital asset sales; financing used $3.0. Cash, cash equivalents and restricted cash decreased $362.9.
- Management cited lower accounts payable and accrued liabilities, including amounts related to inventory and overhead, as a major operating cash use. Inventory declined to $734.8 from $915.0 at fiscal year-end.
- Total debt was $41.0, consisting of French government-guaranteed term loans; $8.9 was current. No borrowings were outstanding under the $500 million revolving facility, with $399.1 of effective availability.
- Total assets were $2,799.5 and stockholders’ equity was $1,343.5. A $168.6 U.S. federal income tax receivable was included in prepaid expenses and other current assets.
Material changes and unusual items
- Quarterly sales fell 4.0%, while six-month sales rose 2.2%. Collectibles sales increased to $223.2 for the quarter from $177.2 and to $444.2 for the half-year from $352.6. Quarterly software sales declined to $316.4 from $396.6.
- Management attributed weaker quarterly sales primarily to fewer new software releases and lower sales of certain previous-generation hardware; current-generation hardware remained supply-constrained. Collectibles and pre-owned product sales partly offset these declines.
- Gross margin fell amid inventory reserves, slower sell-through, higher markdowns and, for the six-month period, elevated freight costs. SG&A rose with transformation-related labor and technology investment; digital asset-related activities and lower marketing and occupancy costs partly offset increases.
- The six-month results included $33.7 of digital asset impairment charges and $2.5 of store-level asset impairments. The company also recorded $27.8 of IMX-related deferred income over the six months and a $6.9 gain from selling digital assets; digital asset marketplace and wallet revenue was not material.
- The four-for-one stock split was distributed July 21, 2022; share and per-share figures in the filing are retroactively adjusted. The filing reported 304.0 million shares outstanding at quarter-end.
Outlook, risks and contingencies
The filing provides no quantified revenue, earnings or cash-flow guidance. Management said cost-reduction efforts are expected to favorably affect SG&A and described a focus on sustainable costs, pragmatic investment and maintaining a strong balance sheet. It cautioned that first-half results are not indicative of the full fiscal year because of seasonality.
Key disclosed risks include execution and adoption of the new digital asset products; digital asset price volatility, cybersecurity, custody and third-party service risks; evolving legal and regulatory requirements; and potential NFT content, intellectual-property and marketplace disputes. Vendors may request credit support collateral, with amounts dependent on purchasing levels and financing conditions. Ordinary-course legal proceedings were not expected by the company to have a material effect. GameStop said it was cooperating with an SEC inquiry into trading activity in its securities and did not expect the inquiry to adversely affect it.
The company reported effective disclosure controls as of July 30, 2022. It implemented SAP on August 28, 2022, with further phased implementation expected over several years; management said it would continue monitoring controls as affected processes evolve.
Important facts for investors to verify
- Confirm the reporting period: this filing is for Q2 2022, despite the request metadata’s “2021 Q2.”
- Track whether sales, gross margin and operating costs improve, especially as inventory markdowns, freight costs and transformation spending change.
- Monitor cash burn, working-capital movements, cash balances and availability under the revolving facility.
- Assess whether the wallet and NFT marketplace gain meaningful revenue and users, and how digital asset impairments and related income affect reported results.
- Review subsequent disclosures on digital asset regulation, cybersecurity, vendor collateral requests, the SEC inquiry and SAP implementation.
