Globus Medical, Inc. — 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is a full-year annual report, not a standalone fourth-quarter report. Globus develops and sells musculoskeletal medical devices and surgical technologies. It completed its acquisition of NuVasive on September 1, 2023; reported results include NuVasive only from that date, so year-over-year comparisons are not fully comparable.

Musculoskeletal Solutions generated $1,448.3 million; Enabling Technologies generated $120.2 million. NuVasive contributed $414.9 million of sales from September 1 through year-end.
Cash and cash equivalents were $467.3 million, with short- and long-term marketable securities of $125.9 million. Current assets were $1,915.4 million and current liabilities $392.3 million (current ratio approximately 4.9). The company had $450.0 million principal amount of 0.375% convertible notes due March 15, 2025; their year-end carrying value was $417.4 million. A $400 million revolving facility, maturing in 2028, was undrawn at year-end, and the company reported covenant compliance.
Investing cash flow was a net inflow of $303.0 million, primarily reflecting marketable-security maturities and sales, partly offset by acquisitions and capital spending. Financing cash outflow was $231.8 million, including $225.6 million of share repurchases. The company repurchased 4.3 million shares during 2023; $275.2 million remained authorized at year-end. It does not anticipate paying cash dividends in the foreseeable future.
Material changes and unusual items
- Sales increased 53.3%, principally reflecting the NuVasive acquisition, as well as higher spine and enabling-technology sales. The increase should not be read as equivalent organic growth.
- Profitability weakened: gross margin fell to 65.0% from 74.2%, and operating income declined despite higher sales. Cost of sales included $71.7 million of amortization of the acquisition-related inventory fair-value step-up; the remaining step-up was $131.1 million at year-end.
- Acquisition-related costs rose to $68.3 million from $6.0 million, including transaction and integration-related costs and changes in contingent-consideration fair value. Intangible amortization increased to $51.0 million from $17.7 million.
- NuVasive was acquired for approximately $2.604 billion of total consideration, principally Globus shares. The preliminary purchase-price allocation included $1.234 billion of goodwill and $899.0 million of identifiable intangible assets; certain fair values remained subject to the measurement period.
- The effective tax rate rose to 25.7% from 21.7%, with merger-related and other nondeductible expenses among the cited drivers. The company recorded a $190.8 million deferred-tax valuation allowance and $33.8 million of unrecognized tax benefits at year-end.
- Management reported no goodwill, finite-lived intangible, in-process R&D, or long-lived-asset impairments in 2023. A jury returned a defense verdict for Globus in the Moskowitz patent case in December 2023; the filing also describes other legal proceedings and contingencies.
Outlook, commentary, and risks
The filing gives no specific numerical revenue, earnings, or margin guidance. Management expects to continue investing in product development, sales-force expansion, international markets, and surgical instrument sets. It reported 10 product launches in 2023 and expects regular future launches, but adoption and results are uncertain.
Key risks include integrating NuVasive and achieving anticipated synergies; retaining employees, customers, distributors, and suppliers; competitive and reimbursement-driven pricing pressure; product adoption and limited long-term clinical data; regulatory clearances and compliance; reliance on select suppliers and allograft-tissue sources; inventory obsolescence; cybersecurity and privacy; foreign-exchange exposure; and litigation and product-liability exposure. The $450 million notes mature in 2025, while contingent consideration and lease commitments also require cash. The company’s principal operating and liquidity outlook depends on execution and cash generation; actual results may differ materially.
Deloitte issued unqualified opinions on the financial statements and on internal control over financial reporting. Management and the auditor excluded NuVasive from the 2023 internal-control assessment because of the timing of the acquisition; NuVasive represented approximately 26% of consolidated assets and 26% of revenue. Thus, the reported control conclusion did not cover that acquired business.
Important facts for investors to verify
- Separate acquisition-driven growth from organic growth, and assess NuVasive’s post-merger sales, margins, and integration progress.
- Track gross-margin recovery, including the remaining $131.1 million inventory step-up and higher ongoing intangible amortization.
- Review cash generation and liquidity against the March 2025 note maturity, contingent-consideration payments, capital needs, and buybacks.
- Monitor realization and costs of merger synergies, as well as retention of sales personnel, customers, and suppliers.
- Review updates on legal matters, tax positions, regulatory compliance, and integration of NuVasive’s financial controls.
