- Q2 revenue: $203.3 million, up 14.8% year over year. Compression Operations revenue was $181.6 million (+11.6%); Other Services was $21.7 million (+51.2%). Growth reflected higher revenue-generating horsepower and revenue per horsepower, as well as increased station construction and service activity.
- Q2 profitability: Operating income was $62.1 million versus $51.9 million; net income was $17.5 million versus $8.9 million; diluted EPS was $0.30 versus $0.15. Net income included a $25.8 million realized derivative gain. Net interest expense increased 65.5% to $61.0 million.

Management’s non-GAAP Adjusted EBITDA was $107.9 million, up from $96.9 million, while its margin declined to 53.1% from 54.7%. Adjusted Gross Margin was $120.2 million; these non-GAAP measures are not substitutes for GAAP results.
- First-half results: Revenue grew 13.9% to $393.4 million and operating income increased 15.2% to $122.4 million. Net income fell 91.1% to $5.2 million from $58.5 million, mainly reflecting higher interest expense and a $21.5 million unrealized derivative loss versus a $32.8 million unrealized gain in 2022. Adjusted EBITDA rose to $214.2 million from $194.3 million, but its margin fell to 54.4% from 56.2%.
- Cash flow and capital spending: First-half operating cash flow was $118.0 million, down from $127.6 million. Investing cash outflow was $93.0 million, including $94.0 million of capital-asset purchases. Management classified $68.3 million as growth capex and $15.7 million as maintenance capex. - Liquidity and debt at June 30: Cash was $41.4 million; current assets were $262.2 million and current liabilities $209.8 million. Gross debt was $2.825 billion ($2.769 billion net of unamortized issuance costs), comprising $1.825 billion under the ABL Facility and a $1.0 billion term loan. ABL availability was $375 million. ABL and term-loan rates were 8.34%/10.25% and 12.16%, respectively. Kodiak reported covenant compliance at quarter-end.

Material changes, outlook and notable items
- IPO and debt changes after quarter-end: Kodiak issued 16.0 million shares at $16.00 on July 3, receiving approximately $231.4 million net, and issued 2.4 million additional shares on July 13, receiving approximately $36.2 million net. The company used IPO proceeds, derivative settlement proceeds and ABL borrowings to repay $300 million of term-loan borrowings; Kodiak Holdings assumed the remaining term-loan obligations, and Kodiak ceased to be a borrower or guarantor. The filing does not provide a clear updated company debt balance after these transactions.
- Management outlook: Management cited fixed-revenue contracts, high utilization, customer outsourcing, and expected production and LNG-related demand as supportive of long-term compression demand. It also noted customer interest in electric compression. No quantified earnings, revenue, capex or dividend guidance is provided. Management said operating cash flow was expected to support debt service, working capital and estimated capex, with dividends subject to board discretion and debt restrictions.
- Interest-rate and derivative items: Kodiak terminated term-loan-related swaps and collars on June 29, recognizing a $25.8 million realized gain; the company also reported a $3.6 million Q2 unrealized derivative loss. Remaining swaps had $1.6 billion notional at June 30. A 1 percentage-point increase in applicable rates was estimated to increase first-half interest expense by $8.8 million on ABL borrowings and $5.0 million on the term loan, before considering derivatives.
- Contingencies and risks: The company accrued $28.4 million for Texas sales-tax audits covering periods from 2015–2022 and reported active settlement discussions. It had $129.2 million of purchase commitments, primarily for compression units, expected to settle within 12 months. Key exposures include customer concentration and nonpayment, oil-and-gas activity and commodity-demand cycles, floating rates, credit-facility restrictions, and regulatory and operating risks.
- Reporting controls and restatement: Management concluded disclosure controls were ineffective due to a material weakness involving recording an out-of-period derivative adjustment. The filing restated Q1 2022 interim figures; it says the error did not affect the six months ended June 30, 2022, revenue, covenants, cash or liquidity. Remediation is underway, but management cannot assure it will be effective. The company also reported no material legal matters beyond the sales-tax contingency.
