Annual operating cash flow benefited from higher earnings but was partly offset by increased inventory investment. Investing activities used $1.2 million; financing activities used $53.3 million, including $30.0 million of stock repurchases and $23.2 million of dividends paid.

At year-end, cash and cash equivalents were $81.4 million and investment securities were $19.7 million, totaling approximately $101.0 million. Working capital was $85.2 million, down from $88.1 million. The company reported no debt. Total assets were $169.4 million and stockholders’ equity was $109.1 million.

Material changes and drivers

  • Growth was driven by OPTA VIA Coach expansion and higher quarterly revenue per earning Coach. At December 31, there were 24,100 active earning Coaches, up 60.7% year over year; quarterly revenue per Coach was $5,756, up 26.2%.
  • Gross margin rose modestly, partly due to favorable manufacturing absorption from higher production volumes and inventory buildup. Management said this benefit was expected to be temporary as inventory normalized.
  • SG&A increased 65.2% to $310.8 million, mainly reflecting higher OPTA VIA commissions. Commission expense as a share of revenue increased to 39.6% from 35.6%, while other expenses leveraged against higher sales.
  • The effective tax rate fell to 20.9% from 31.3%, primarily reflecting the lower federal statutory rate under the Tax Cuts and Jobs Act, partly offset by the elimination of the Domestic Manufacturer Deduction.
  • Adoption of ASC 606 reduced opening 2018 retained earnings by $2.0 million. The filing’s 2018 comparison indicates adoption increased reported revenue by $1.8 million and net income by $0.2 million relative to the prior accounting treatment.

Outlook, risks and contingencies

  • Management anticipated a 2019 full-year tax rate of 22.5%–23.5%. The filing provides no specific revenue or earnings guidance.
  • Medifast planned to launch in Hong Kong and Singapore in the first half of 2019, following approximately $5 million of 2018 market preparation. Its stated objective was to scale the markets to profitability and fund expansion without negatively affecting domestic operating margins.
  • Key risks include Coach retention and growth; regulatory scrutiny of direct selling, compensation practices, and advertising claims; product liability and health-related claims; competition and changing consumer preferences; supply-chain reliance on third parties and the company’s single manufacturing facility; cybersecurity; and risks of international expansion, including compliance and currency exposure.
  • Ordinary-course litigation was not expected by management to have a material adverse effect, though outcomes are uncertain. Contractual obligations included $9.5 million of operating lease payments and $10.1 million of unconditional purchase obligations.
  • The company declared $2.19 per share in dividends during 2018 and repurchased $30.0 million of stock. Management expressed intent to continue dividends but gave no assurance of future declarations or payments. Auditors issued unqualified opinions on the financial statements and internal controls; management also reported effective controls.

Investor verification priorities

  • Confirm that Coach growth, productivity, and client acquisition can be sustained, and assess dependence on the OPTA VIA channel.
  • Track inventory levels and cash conversion, especially given the temporary manufacturing-absorption benefit and the substantial 2018 inventory increase.
  • Review commission economics and whether expense growth remains aligned with sales growth as the Coach network expands.
  • Monitor Hong Kong and Singapore launch spending, profitability, regulatory compliance, and any effect on domestic margins.
  • Verify subsequent dividend and repurchase activity, liquidity needs, and the effect of lease-liability recognition under the new lease standard.
