Q2 revenue grew 19% year over year: licenses rose 15% to $119.3m and subscription services rose 28% to $160.0m; professional services and other revenue declined 42% to $8.0m. First-half revenue grew 18%. The company attributed growth primarily to subscription services and licenses, and reported growth across regions.

At July 31, 2023, ARR was $1,307.9m, up 25% year over year; management attributed approximately 20% of ARR growth to new customers and 80% to existing customers. Dollar-based net retention was 121%, down from 132%. Remaining performance obligations were $905.4m, with 62% expected to be recognized as revenue over the next 12 months.

Gross profit was $238.3m in Q2 and $484.2m for the first half. Cash, cash equivalents and restricted cash totaled $1,094.3m; marketable securities were $735.7m, bringing these resources to $1,830.0m. Total assets were $2,670.1m, total liabilities $686.8m, and stockholders’ equity $1,983.4m. There were no borrowings under the $200m revolving credit facility at quarter-end; it was terminated in September 2023. Operating lease liabilities were $63.0m.

Material changes versus prior comparable periods

  • Revenue growth was led by subscription services, which represented 56% of Q2 revenue versus 51% a year earlier. Management said the shift toward Flex Offerings is expected to increase the share of revenue recognized over time.
  • Gross margin improved by 1 percentage point in Q2 and 2 points for the first half, which management primarily attributed to growth in higher-margin subscription services.
  • Operating loss narrowed substantially as revenue increased and operating expenses declined overall. First-half sales and marketing expense fell 11%, while research and development rose 19%.
  • First-half operating cash flow improved by $188.2m year over year, reflecting customer collections approximately 30% higher than in the prior-year period, partly offset by operating expenditures and annual bonus payments.
  • Cash and cash equivalents declined from $1,402.1m at January 31, 2023, while marketable securities rose from $354.8m to $735.7m. Combined cash, restricted cash and marketable securities increased from $1,759.8m to $1,830.0m.

Outlook, risks, contingencies and unusual items

  • The filing provides no specific revenue, profit or ARR guidance. Management said existing cash, cash equivalents, restricted cash, marketable securities and customer payments should fund anticipated requirements for the next 12 months and the long term.
  • Management cited macroeconomic and geopolitical uncertainty, including the Russia-Ukraine conflict, inflation, interest rates, financial-sector instability and foreign-exchange volatility. Approximately 55% of first-half revenue and 34% of expenses were denominated in non-U.S. currencies; a hypothetical 10% exchange-rate move was estimated to have a $13.4m translation impact.
  • The company added risks concerning successful development and adoption of new products and AI features, including potential inaccuracies, biased or problematic data, security and privacy issues, evolving regulation, and reputational or legal exposure.
  • Restructuring actions involving workforce reductions of approximately 5% and a further 6% were completed in Q2. First-half restructuring expense was $2.6m, with $1.7m of accrued restructuring costs at quarter-end.
  • Stock-based compensation was $102.1m in Q2 and $187.1m for the first half. Management noted that future SaaS growth may increase hosting and cloud infrastructure costs. The first half also included a $4.2m stock donation recorded as general and administrative expense.
  • Non-cancelable purchase obligations were $218.7m, including $99.9m due in fiscal 2025. The company reported no litigation that it believed would have a material adverse effect and no material changes to previously disclosed risk factors other than the added product-development and AI risks.
  • After quarter-end, the board authorized repurchases of up to $500m of Class A shares, through March 1, 2025. Actual timing and amounts depend on market conditions and other factors.

Important facts for investors to verify

  • Whether ARR growth and retention trends persist, given retention declined to 121% and ARR is a company-defined operating metric, not a forecast of GAAP revenue.
  • Whether revenue mix continues shifting toward subscriptions and how cloud hosting costs affect gross margins.
  • How much of improved operating cash flow is recurring versus influenced by collection timing and working-capital changes.
  • The effect of substantial stock-based compensation and equity issuance on future dilution and profitability.
  • Execution, customer adoption, regulatory and liability risks associated with AI and new platform features.
  • Whether the announced share repurchase is carried out, and how it compares with other capital needs and contractual commitments.
