  • Balance sheet: Total assets were $21.12 billion, up 13.3% from year-end 2013. Loans were $9.37 billion, up 20.5%; deposits were $17.01 billion, up 11.3%; and shareholders’ equity was $3.18 billion, up 14.2%.
  • Drivers of earnings: Growth was principally acquisition-related and reflected higher average earning assets. Q3 average loans increased 52.0%, while average interest-earning assets increased 28.8%. Purchase-accounting loan discount accretion contributed $28.5 million to Q3 loan interest income and $67.3 million for the nine-month period.
  • Cash flow: Nine-month operating cash flow was $280.0 million versus $248.7 million in 2013. Investing activities used $13.8 million, while financing activities used $316.2 million. Cash and cash equivalents declined $50.0 million to $331.4 million, primarily reflecting securities purchases, deposit movements and dividends.
  • Credit quality: The allowance for credit losses was $77.6 million, or 0.83% of total loans, versus $67.3 million, or 0.87%, at year-end 2013. Net charge-offs were $1.6 million for the first nine months, compared with $2.0 million in 2013.
  • Nonperforming assets: Nonperforming assets rose to $50.1 million from $22.5 million, and increased from 0.29% to 0.53% of total loans and other real estate. Management attributed most of the increase to acquired banks, particularly F&M.
  • Funding and liquidity: Other borrowings were $290.0 million, including $280.0 million of short-term FHLB advances. Securities sold under repurchase agreements were $358.1 million. The company reported $5.75 billion of available FHLB funding, with $290.0 million outstanding.
  • Capital: Consolidated total risk-based capital, Tier 1 risk-based capital and Tier 1 leverage ratios were 13.90%, 13.18% and 7.40%, respectively. The Bank’s ratios were 13.66%, 12.94% and 7.26%, above the stated well-capitalized thresholds.

Material changes versus prior comparable periods

  • Revenue and earnings increased substantially, primarily because of the F&M acquisition and the effect of prior acquisitions on earning assets, deposits and fee-generating accounts.
  • Noninterest expense increased faster in absolute terms because of acquired operations, higher salaries and benefits, data processing, regulatory assessments and other operating costs.
  • Q3 and nine-month net interest margins expanded despite lower loan yields, supported by asset growth, lower funding costs and purchase-accounting accretion.
  • Nonperforming assets more than doubled from year-end, although the allowance remained well above total nonperforming loans on an aggregate basis.
  • Goodwill increased to $1.89 billion from $1.67 billion, principally due to the F&M acquisition. No goodwill impairment was recorded.
  • Common dividends declared increased to $0.72 per share for the first nine months of 2014 from $0.65 per share in the comparable 2013 period.

Guidance, outlook, risks and unusual items

The filing does not provide formal earnings or financial guidance. Management expects deposits to remain the principal funding source and loans the principal use of funds, and states that liquidity is adequate. Management also expects continued benefits from internal growth, cost controls and acquisitions, but cautions that future acquisition integration and growth may not succeed as expected.

  • Q3 included $338 thousand of pre-tax merger-related expenses; nine-month merger-related expenses were $3.1 million. The company also recognized a $2.2 million gain from selling an acquired agent-bank credit card and merchant-processing business during the first quarter.
  • Unrealized securities losses were attributed primarily to higher market interest rates rather than credit deterioration. Management reported no intent or expected need to sell the affected securities before recovery and recorded no other-than-temporary impairment.
  • Off-balance-sheet commitments totaled $2.21 billion, including $2.10 billion of commitments to extend credit and $105.4 million of standby letters of credit. These amounts may not represent actual future funding needs.
  • Contractual obligations totaled $571.5 million, including $249.8 million for junior subordinated debentures, $291.9 million for FHLB borrowings and $29.8 million for operating leases.
  • Key risks include regional economic deterioration in Texas or Oklahoma, higher interest rates, pressure on net interest margins, real-estate and commercial-credit concentrations, deposit competition, liquidity constraints, acquisition integration, goodwill impairment, regulatory changes and model or valuation uncertainty.
  • The company states that ordinary-course legal proceedings are not expected to have a material adverse effect. It reported no material changes to previously disclosed risk factors and no material changes in internal control over financial reporting.

Investor verification checklist

  • Verify the sustainability of earnings excluding $28.5 million of Q3 purchase-accounting loan discount accretion and related acquired-loan effects.
  • Reconcile the increase in nonperforming assets, particularly the acquired F&M portfolio, with subsequent charge-offs, provisions and recoveries.
  • Review the composition and interest-rate sensitivity of the $8.85 billion securities portfolio, including $107.1 million of unrealized losses in held-to-maturity securities.
  • Assess whether loan growth, deposit growth and capital ratios remain strong after acquisition-related effects normalize.
  • Evaluate the potential impact of higher interest rates on securities values, deposit costs, loan prepayments and net interest margin.
  • Monitor the company’s $1.89 billion goodwill balance and the assumptions supporting its impairment conclusion.
  • Confirm the capacity and utilization of off-balance-sheet credit commitments and the company’s ability to fund them under adverse conditions.
