Revenue growth was driven by app subscriptions and continued brand demand. Cloud solutions and subscription revenue rose to $44.8 million from $36.9 million; licensing revenue declined to $7.5 million from $8.4 million, and advertising revenue fell to $1.2 million from $1.8 million. Consumer app subscription revenue increased to $26.5 million from $16.2 million. Brand revenue decreased to $25.8 million from $29.2 million; revenue from non-key-customer brands fell to $1.5 million from $8.6 million. Key-customer revenue rose to $24.3 million from $20.6 million.

Cost of sales and services increased 45.9% to $10.4 million, faster than revenue, primarily due to app-store payment processing fees. Operating expenses were $48.8 million, down from $111.2 million, mainly because 2022 included substantial Business Combination and listing costs. The 2023 operating loss shows that the company remained loss-making at the operating level despite positive net income. Adjusted net income, a non-IFRS measure, was $7.0 million versus $4.1 million in 2022.

Cash and cash equivalents were $123.9 million at year-end, plus $30.3 million of current time deposits; total assets were $170.4 million and total equity was $139.4 million. The company reported no bank borrowings. Total liabilities were $31.0 million, including $0.9 million of lease liabilities; the reported gearing ratio was 0.22. Cash declined by $38.7 million during 2023, principally reflecting $51.1 million spent on share repurchases and the tender offer. The current ratio was approximately 5.8, based on reported current assets and current liabilities.

Material changes and unusual items

  • Net income improved sharply from a $161.7 million loss to $5.4 million of income. The comparison is heavily affected by 2022’s $65.3 million non-cash listing expense and large non-cash fair-value losses on preferred-share liabilities, which were converted in connection with the 2022 transaction. These items did not recur in the same way in 2023.
  • 2023 net income also benefited from $9.5 million of interest income and a $1.6 million gain on financial liabilities at fair value. Operating performance alone remained negative.
  • The company repurchased and retired approximately 16.1 million shares in a $50 million tender offer at $3.10 per share, in addition to purchases under a separate share repurchase program. Financing cash outflow was $51.5 million.
  • Average monthly app subscribers increased to 774,000 from 494,000, while average MAUs declined to 16.5 million from 17.8 million.
  • Key-customer retention was 83% and NDRR was 92% in 2023, versus 94% and 97%, respectively, in 2022. The filing reports average 2021–2023 retention of 90% and average NDRR of 105%.

Outlook, risks and contingencies

Management provided no quantified revenue or earnings guidance. It reported that B2B sales cycles lengthened in the second half of 2022 and first half of 2023, but that sales opportunities showed signs of recovery in late 2023. Management remained confident in long-term prospects while noting 2024 risks including high inflation, foreign-exchange volatility, geopolitical tensions and pressure on consumer discretionary spending. Its stated priorities include product iteration, customer-base expansion, revenue diversification and operating-efficiency improvements.

Management said existing cash and resources should fund working capital and capital expenditure needs for at least 12 months from the report date. The company cautioned it may need financing if resources prove insufficient. The filing reports no significant contingencies and no material legal proceedings expected to adversely affect the business; it does disclose privacy-related lawsuits alleging violations of Illinois biometric privacy law involving the company and customers.

  • Controls: Management concluded disclosure controls and internal control over financial reporting were not effective at December 31, 2023. One material weakness remained regarding COSO-related risk-assessment and control documentation; a second weakness involving complex accounting controls was reported as remediated. The auditor did not attest to internal-control effectiveness.
  • Business risks: Rapidly changing AI and AR markets, intense competition, dependence on app stores and cloud providers, privacy and AI regulation, cybersecurity and intellectual-property claims, and the ability to retain technical talent.
  • Concentration and governance: Key customers accounted for 45.4% of revenue. The CEO controlled 66.4% of voting power through the dual-class share structure. Potential resales of registered securities and equity awards or warrant exercises may affect trading and dilute shareholders.
  • Geographic exposure: The company is headquartered in Taiwan and describes cross-Strait tensions as a material risk. Revenue from the PRC was less than 3% of total revenue in 2023.

Most important facts for investors to verify

  • Review the audited financial statements and notes for the composition and recurrence of non-operating gains, interest income, and prior-year transaction-related charges; distinguish IFRS results from adjusted net income.
  • Track whether subscription growth offsets lower brand and licensing revenue, and whether app-store fees continue to pressure gross margin.
  • Assess customer retention and NDRR, particularly the 2023 declines, and the sharp reduction in non-key-customer brand revenue.
  • Monitor cash use following the tender offer, liquidity available beyond cash and time deposits, and the company’s ability to maintain positive operating cash flow.
  • Follow remediation of the remaining internal-control material weakness and any subsequent change in management’s effectiveness assessment.
  • Check developments in disclosed biometric-privacy litigation, AI and data-protection regulation, and potential sales of securities registered for resale.
