Quarterly revenue rose 52.1% year over year; six-month revenue rose 56.8%. Management attributed transportation growth to higher business volume and substantial surcharges, particularly in ocean freight and certain rail and trucking lanes; the quarter also included one month of Navegate. Operating income and attributable net income increased, while adjusted EBITDA rose 37.7% for the quarter and 46.2% for the six-month period.

Management’s non-GAAP net margin (net revenue divided by total revenue) was 21.5% for the quarter, down from 25.3%, and 22.1% for the six months, down from 25.7%. Transportation net margin declined to 20.2% from 23.9% for the quarter and to 20.7% from 24.3% for the six months, mainly reflecting purchased-transportation surcharges amid tight capacity. Value-added-services net margin also declined, partly due to startup costs at a new Canadian warehouse. GAAP gross margin was 20.5% for the quarter versus 23.9%, and 21.0% for the six months versus 24.2%.

Cash flow, liquidity and debt

  • Cash from operating activities was negative $19.7 million for the six months, compared with positive $1.9 million a year earlier. The company cited working-capital movements, including increases in accounts receivable and contract assets; accounts payable partly offset the cash use.
  • Investing cash outflow was $38.9 million, including $34.5 million paid for Navegate, net of acquired cash, and $4.5 million of property, technology and equipment purchases. Financing provided $60.7 million, including $80.1 million of revolving-facility proceeds and $9.6 million of repayments.
  • At December 31, cash and cash equivalents were $17.2 million, with $0.6 million of restricted cash. Current assets were $284.8 million and current liabilities $184.0 million.
  • Notes payable totaled $96.6 million, including $85.5 million drawn on the $150 million revolving facility; the facility matures in March 2025. The filing reports compliance with debt covenants. Operating and finance lease liabilities totaled $42.0 million. Nominal undrawn revolving capacity was $64.5 million before any other facility limitations.
  • The company repurchased 870,733 shares for $6.3 million during the six months. The board subsequently approved renewal of the repurchase program through December 31, 2023.

Material developments, outlook and risks

  • Navegate acquisition: Acquired effective November 30, 2021, for $35 million cash, funded through the credit facility. The preliminary allocation included $13.8 million of goodwill and $17.8 million of intangible assets. Its one-month results were included and were described as immaterial.
  • Ransomware incident: Detected December 8, 2021; systems recovery was substantially complete and operations were fully functional at the time of filing. The company confirmed some customer and employee data was extracted. It reported approximately $0.8 million of second-quarter incident costs and a loss of revenue, without quantifying that loss. Insurance is expected to offset some costs. Higher contract assets were attributed to delayed revenue posting following the incident.
  • Controls: Management concluded disclosure controls were ineffective at December 31, 2021, due to material weaknesses involving IT general controls and previously identified revenue-processing and operating-partner commission controls. Management said it had no indication the incident affected financial statement accuracy, had performed validation procedures, and was implementing remediation.
  • Other risks and unusual items: COVID-19 impacts remained uncertain. Tight freight capacity and transportation costs, cybersecurity and data privacy, acquisition integration, and working-capital requirements are key risks. The filing also reports $0.5 million of expense from the change in fair value of contingent consideration for the six months, compared with $1.9 million in the prior-year period. No potentially material legal proceedings were reported; earn-out liabilities were $5.2 million.
  • Guidance: The filing provides no specific numerical revenue or earnings guidance. Management said working capital, expected operating cash flow and access to the revolving facility were adequate to fund existing operations for the next 12 months, and described continued organic growth and acquisition efforts.

Important facts for investors to verify

  • Whether the ransomware incident caused further customer losses, legal or regulatory exposure, data-privacy costs, or additional insurance recoveries.
  • Progress and effectiveness of remediation for the disclosed material weaknesses, especially revenue recognition, commission calculations and IT controls.
  • Whether operating cash flow improves as the elevated contract assets and receivables convert to cash; contract assets were $73.3 million at December 31, versus $27.8 million at June 30.
  • How much revenue and profit growth reflects durable shipment volume and acquired business versus temporary freight surcharges, and whether tight-capacity margin pressure persists.
  • Navegate integration, final purchase-price allocation, acquisition returns, and the effect of additional borrowing or share repurchases on covenant headroom and liquidity.
