Shutterstock, Inc. — FY 2022 Form 10-K
Reporting period: Fiscal year ended December 31, 2022. This is an annual filing, not a standalone fourth-quarter report; the supplied filing text does not provide a clear set of Q4-only financial results.
Business context

Revenue is generated through E-commerce and Enterprise channels. The company completed acquisitions of Pond5 and Splash News in 2022 and announced an OpenAI partnership in October; DALL·E 2 was integrated into the platform in 2023.

Revenue by channel was $501.4 million E-commerce (+2%; +5% constant currency) and $326.4 million Enterprise (+15%; +20% constant currency). Enterprise growth reflected Computer Vision, multi-asset products, acquisitions, Studios and Editorial. North America revenue rose 21% to $353.2 million; Europe fell 4% to $243.0 million. Foreign-exchange movements materially reduced reported growth.
Paid downloads fell to 173.3 million from 180.0 million, while revenue per download increased 6% to $4.40. Subscriber revenue rose to $346.6 million from $317.5 million, and subscribers increased to 586,000 from 343,000; acquisition-related metric inclusion affects comparability. The company reported 2.3 million paying customers and 173.3 million paid downloads for the year.
Cash and cash equivalents were $115.2 million at year-end, versus $314.0 million a year earlier. Current assets were $215.7 million and current liabilities $383.7 million. Debt was $50 million under a $100 million revolving facility at year-end; the company repaid it in full on January 27, 2023. It reported $98 million of remaining availability thereafter, net of standby letters of credit. The company declared and paid $34.6 million in dividends in 2022.
Material changes, outlook and risks
- Revenue growth slowed to 7% reported from 16% in 2021; constant-currency growth was 11%. The acquisitions of Pond5 and Splash News contributed $36.7 million of 2022 revenue from their acquisition dates, complicating year-over-year comparisons.
- Operating expenses grew 10%, faster than revenue. Cost of revenue rose 13%; product development rose 26%. In Q4, the company recorded an $18.7 million impairment charge after discontinuing use of office space, including two floors of its New York headquarters.
- Investing cash outflow was $275.6 million, including $211.8 million for business combinations, $43.3 million of capital expenditures and $16.8 million for content acquisitions. Financing cash outflow was $79.5 million, including $73.5 million of share repurchases and $34.6 million of dividends, partly offset by credit-facility proceeds.
- Management said existing cash, operating cash flow and the credit facility should cover anticipated cash needs for at least 12 months. It expects continued investment in technology and product development and says expenses will continue to vary with revenue, downloads, sales-channel optimization and customer acquisition. The filing provides no numerical forward revenue or earnings guidance.
- Key risks include competition and pricing pressure, economic conditions affecting customer advertising and marketing budgets, foreign-exchange exposure, AI-related legal and reputational issues, privacy and cybersecurity obligations, content licensing and indemnification claims, acquisition integration and impairment risk, and dependence on customer and contributor engagement.
- Unconditional non-lease obligations were approximately $93 million, primarily cloud, infrastructure and business-service commitments and minimum royalty guarantees; operating lease obligations were approximately $54 million. The company reported no material active litigation and no material litigation reserves. Its auditor identified revenue recognition and Pond5 customer-relationship valuation as critical audit matters; the audit opinion was unqualified.
Investor verification priorities
- Separate organic growth from acquisition contributions and currency effects, especially in Enterprise and E-commerce results.
- Assess the sustainability and quality of subscriber growth alongside lower paid-download volume and higher revenue per download.
- Reconcile GAAP earnings and operating cash-flow declines with improved adjusted EBITDA; review the adjustments and the definition of free cash flow.
- Monitor acquisition integration, acquired intangible amortization, goodwill, and whether expected synergies support returns on acquisition spending.
- Review liquidity after the January 2023 debt repayment, future cash commitments, dividend capacity and any renewed share-repurchase authorization.
- Track the effect of the office-space impairment, foreign-exchange movements, customer credit risk and evolving AI, privacy and intellectual-property exposures.
