The FY2020 profit was largely driven by a one-time $175.8 million gain recorded when Trilogy contributed its Alaska assets to Ambler Metals. FY2021’s larger share of joint-venture losses reflected the resumption of project work after the 2020 field season was cancelled for COVID-19. Fourth-quarter 2021 loss was $6.1 million, versus $3.2 million in the prior-year quarter, mainly due to Ambler project and access-road pre-development costs.

At year-end Trilogy reported working capital of $5.6 million and a $160.1 million carrying value for its Ambler Metals investment. Management said corporate cash was sufficient for its budgeted next-12-month operating needs, but also stated Trilogy would need to raise additional funds to support corporate operations over time. Trilogy reported no material off-balance-sheet arrangements. Its lease liability was approximately $414,000; the filing reports no material corporate borrowings.

Ambler Metals reported $61.2 million of cash and a $55.4 million loan receivable from South32 at November 30, 2021. The loan was made from the original joint-venture funding and is secured by South32’s Ambler Metals interest and guaranteed by a South32 affiliate. Trilogy’s maximum exposure to loss in the venture is limited to its investment carrying amount, subject to the disclosed arrangements.

Operations, project economics and changes

  • Ambler Metals approved a $27 million 2021 exploration program, funded by the joint venture. Weather and contractor staffing issues limited work: 7,325 metres were drilled versus the planned program, including Arctic infill/metallurgical drilling and regional targets.
  • The Arctic feasibility study describes a proposed 10,000-tonne-per-day open-pit mine with a 12-year operating life and three years of pre-production. On a 100% project basis, the study estimated initial capital of about $906 million, life-of-mine average operating costs of $50.65 per tonne milled, post-tax IRR of 27.1%, and post-tax NPV of $1.135 billion at an 8% discount rate. Trilogy’s project interest is 50%; these are study estimates, not company revenue or realized results.
  • The Arctic study’s economics and reserves depend on assumptions including metal prices, costs, recoveries, permitting and construction of the proposed Ambler Access road. The analysis excludes the potential impact of NANA’s right to elect a 16%–25% project interest or a 15% net-proceeds royalty.
  • Arctic’s reported NI 43-101 reserve is 43.4 million tonnes of probable reserves. The filing cautions that Trilogy has no reserves recognized under SEC Industry Guide 7. Bornite has reported resources but no mineral reserves; resource estimates are not evidence of economic viability.
  • BLM, the National Park Service and AIDEA signed right-of-way agreements in January 2021 for the proposed 211-mile Ambler Access road. Litigation challenging the federal decision remained pending. Trilogy expected to submit Arctic’s formal permitting application in 2022 and estimated the permitting process at 24–30 months.

Outlook, risks and unusual matters

After fiscal year-end, Ambler Metals approved a fully funded 2022 UKMP budget of approximately $28.5 million. AIDEA and Ambler Metals approved approximately $30.8 million for 2022 Ambler Access Project work, split equally. Trilogy also approved a $5.5 million 2022 corporate budget. These are forward-looking plans, not completed expenditures.

Key risks include the absence of operating revenue and the possibility that projects never reach production; dependence on South32 and joint-venture approvals; financing needs; metal-price and cost volatility; remote-site infrastructure and seasonal weather; permitting and environmental requirements; and uncertainty over the access road, including litigation, timing and toll charges. The filing also notes possible reclamation and long-term water-treatment costs at Arctic; estimated closure costs vary by study presentation, so the applicable basis should be checked. The auditor issued an unqualified opinion on the financial statements and identified assessment of potential impairment indicators for the Ambler investment as a critical audit matter. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor did not provide an ICFR attestation.

Most important facts for investors to verify

  • Confirm the 50/50 Ambler Metals ownership, the remaining cash and South32 loan receivable, and the terms governing future funding and repayment.
  • Track the Ambler Access road litigation, permitting, financing, construction decision and final toll assumptions; the Arctic feasibility economics rely on access.
  • Review the full Arctic feasibility study and NANA Agreement for project-level economics, royalties/back-in rights, capital and closure costs, and sensitivity to metal prices and costs.
  • Distinguish Canadian resource/reserve disclosures from SEC-recognized reserves; confirm updated technical estimates and the status of Bornite studies.
  • Monitor Trilogy’s standalone cash burn and financing plans: year-end cash was $6.3 million, while management acknowledged a need to raise funds for corporate costs over time.
