Near-term liquidity was reported as $480.0 million: $206.4 million of cash and cash equivalents, $247.2 million held in CLOs for investment in eligible collateral, and $26.4 million of undrawn capacity. Of the cash balance, $15.0 million was held to meet financing covenants; management reported $191.4 million available for investment.
Material changes versus the prior comparable period
- Annual net interest income fell $53.4 million despite higher interest income, as interest expense rose to $273.9 million from $160.8 million. Management attributed the decline in part to loans placed on non-accrual or cost-recovery during the year; ten loans were on non-accrual at some point in 2023, although none were on non-accrual at year-end.
- Net credit loss expense was $189.9 million, versus $173.0 million in 2022. The year-end allowance for credit losses, including unfunded commitments, was $69.8 million, down from $214.6 million, primarily reflecting loan resolutions and write-offs.
- Loan commitments declined from $5.43 billion to $3.67 billion, and the loan count fell from 70 to 53. Management said it curtailed originations and maintained higher liquidity amid elevated rates, market volatility, declining property values and banking-sector stress.
- During 2023, TRTX sold five loans with $564.9 million aggregate unpaid principal for $349.5 million, recording $212.4 million of realized losses. It converted six loans to real estate owned (REO), with $386.1 million aggregate unpaid principal, and sold one multifamily REO property for a $7.0 million gain.
- Year-end book value per common share declined $2.62, which management attributed primarily to credit loss expense. Net debt decreased, and the debt-to-equity ratio improved to 2.53x from 2.97x.
Outlook, management commentary, risks and unusual items
- Management provided no formal earnings or dividend guidance. It described ongoing caution toward new lending and continued attention to liquidity given high interest rates, uncertain commercial property values, limited capital-market liquidity and recession concerns. Management noted the Federal Reserve had indicated possible rate cuts in 2024; this is not company guidance.
- Interest-rate exposure is two-sided: management generally expects rising rates to increase net interest income, while falling rates may reduce it. At year-end, net floating-rate loan exposure was approximately $466.8 million; a 100-basis-point sensitivity was not included in the supplied filing text, which instead provides 25-, 50- and 75-basis-point scenarios.
- Financing and liquidity risks include $3.05 billion of debt, facility maturities and extension conditions, collateral-specific margin calls, covenant requirements, and $183.3 million of unfunded loan commitments. A minimum interest-coverage covenant waiver reduced the threshold from 1.40x to 1.30x for the third and fourth quarters of 2023; it reverted to 1.40x beginning with the first quarter of 2024. The company reported covenant compliance at year-end.
- Credit and property risks are material, particularly in office and transitional lending. Four office properties and one multifamily property were held as REO at year-end. Valuations and CECL reserves rely on significant management judgment and uncertain property-market inputs.
- Common dividends remained $0.24 per quarter, or $0.96 for the year, despite negative annual GAAP earnings and Distributable Earnings. Distributable Earnings is a non-GAAP measure and was a loss of $264.1 million for 2023. The company reported $0.61 per share of 2023 distributions as return of capital for tax purposes; dividend amounts remain subject to board discretion.
- After year-end, the company originated two multifamily loans with $82.3 million of commitments, received repayments totaling $179.4 million of principal, and extended its Goldman Sachs credit agreement for two years through August 2026, followed by a two-year term-out period.
- Other risks include competition and conflicts involving TPG funds, dependence on the external manager and service providers, REIT qualification, compliance with Investment Company Act exclusions, and cyber and operational risks. No material legal proceedings or material cybersecurity incidents affecting the company were reported.
Important facts an investor should verify
- Reconcile the $189.9 million annual credit loss expense with the $144.8 million year-over-year decrease in the reported total allowance, including realized losses, loan sales and REO conversions.
- Review loan-level exposure, borrower performance, collateral valuations and resolution prospects, especially for office loans and the five year-end REO properties.
- Confirm the composition and availability of the reported $480.0 million liquidity figure, particularly cash held in CLOs that is restricted to eligible collateral investment.
- Assess debt maturities, extension conditions, margin-call provisions and covenant headroom after the temporary interest-coverage waiver ended.
- Evaluate dividend coverage and sustainability using cash flows, REIT taxable income and the non-GAAP Distributable Earnings reconciliation, rather than dividend yield alone.
- Check subsequent loan repayments, new originations and financing developments in later SEC filings; these may affect portfolio size, liquidity and earnings.
