Performance drivers and material changes
- Domestic sales increased 14.0% to $291.5 million: pipe sales rose 14.9%, with reported pipe selling prices up 4.4%; Allied Products sales grew 11.6%.
- International sales declined 1.9% to $36.8 million. Management cited a late Canadian construction-season start and slower public spending in Mexico. International gross profit fell 14.3%, partly reflecting Canadian-dollar weakness and limited volume growth.
- Raw-material prices increased 7.7%. Gross margin narrowed despite higher sales, while selling expense remained about 5.9% of sales.
- G&A expense rose 16.3%, including higher stock-based compensation and IPO-related professional fees. Interest expense increased 12.5%; leverage above 3.0 times triggered a 2% surcharge on shelf notes, adding $0.5 million of interest expense.
- GAAP net income attributable to ADS remained positive, but net loss available to common stockholders was $4.2 million. The change in fair value of redeemable convertible preferred stock was a major non-cash factor; management said it reduced common-shareholder income by $16.1 million, or $0.34 per share.
- System-Wide Net Sales, a non-GAAP measure including unconsolidated joint ventures, rose 12.6% to $348.1 million. South American joint-venture sales were affected by mining-market softness and a Brazil construction slowdown; BaySaver and Tigre-ADS USA contributed incremental sales.
Balance sheet, debt and liquidity
- At June 30, cash was $4.7 million and total current assets were $500.7 million, against current liabilities of $182.2 million. Working capital was $318.5 million, up from $263.9 million at March 31, primarily because receivables increased $67.3 million.
- Total debt was $492.9 million, including $286.5 million drawn on ADS’s revolving facility, $2.0 million on the ADS Mexicana facility, a $96.3 million term loan and $100.0 million of senior notes. ADS reported $40.5 million available under its revolvers; cash plus reported borrowing availability totaled $45.2 million.
- Management said the company was compliant with debt covenants at June 30 and expected cash, available borrowing and operating cash generation to cover anticipated needs for at least 12 months. The revolver and term loan mature in June 2018; reported leverage exceeded 3.0 times, while the disclosed covenant ceiling was 4.0 times.
- Operating cash use reflected seasonal receivables growth. Investing cash use was $16.6 million, including $7.6 million invested in an unconsolidated affiliate; financing provided $38.8 million, largely from seasonal revolver borrowings.
Outlook, developments and risks
- Management anticipated approximately $35 million of fiscal 2015 capital expenditures, primarily for facility expansions, equipment replacement and recycled-resin initiatives. No specific revenue or earnings guidance was provided.
- After quarter-end, ADS completed its July 30, 2014 IPO. The company reported estimated net proceeds of $72.8 million after underwriting discounts and estimated offering expenses and used them to repay revolving-credit-facility debt. The filing also reported a subsequent partial underwriter over-allotment sale by existing stockholders; ADS received no proceeds from those shares.
- Key stated risks include resin cost and availability, ability to pass costs through, construction-market cyclicality and weather, competition, customer concentration, international and joint-venture exposure, indebtedness and liquidity, manufacturing, product warranties, and environmental or other regulatory changes.
- ADS disclosed guarantees of up to $12 million for ADS Mexicana’s credit facility and $7 million for its share of the South American joint venture’s credit facility. Management considered pending litigation non-material; the estimated maximum loss contingency was $0.435 million at June 30.
- Management reported effective disclosure controls as of June 30 and no material change in internal control over financial reporting during the quarter.
Important facts for investors to verify

- Whether International results and unconsolidated joint ventures improve, particularly in Canada, Mexico and Brazil.
- Post-IPO debt balances, revolver availability, covenant headroom and interest costs after the $72.8 million debt repayment.
- The continuing effect of preferred-stock fair-value accounting and the difference between GAAP EPS and management’s non-GAAP fully converted EPS.
