Material changes versus the prior comparable period

  • Revenue growth was led by European contract logistics, U.S. last mile, North American truck brokerage and improved weight per day in North American LTL.
  • Results benefited from cost savings, improved U.S. LTL dock efficiency, centralized support functions and technology-enabled labor efficiencies.
  • The October 2016 divestiture of North American Truckload reduced the year-over-year revenue comparison; that business generated $431.9 million of 2016 revenue.
  • XPO redeemed its 7.25% senior notes due 2018 and its senior notes due 2021, producing debt-extinguishment losses of approximately $5.3 million and $22.4 million, respectively.
  • The company refinanced its term loan in March 2017. The term loan principal was $1,494.0 million at year-end and its interest rate was 3.60%.
  • XPO completed a common-stock offering that generated $287.6 million of net proceeds. Forward sale agreements covering an additional 6 million shares had not been settled by year-end and could create future dilution.
  • Net income included a $173.1 million benefit from revaluation of deferred tax liabilities following the U.S. Tax Cuts and Jobs Act. The reported 2017 effective tax rate was negative 38.2%.

Cash flow, debt and liquidity

Operating cash flow of $798.6 million exceeded capital expenditures of $503.8 million. Financing activities used $366.4 million, principally reflecting $1,386.6 million of debt repurchases, $106.4 million of debt and capital-lease repayments and $287.6 million of common-stock proceeds. Management stated that existing cash sources were sufficient to support operations for the following 12 months.

Year-end contractual cash obligations totaled $7,974.3 million, including $4,436.0 million of long-term debt, $1,978.5 million of operating leases and $1,207.3 million of interest on long-term debt. Principal debt payments were concentrated in 2021 and 2022. XPO was in compliance with its debt covenants at December 31, 2017.

Guidance, outlook, commentary and risks

  • Management planned to continue pursuing organic growth, cross-selling between segments, technology investment, network optimization and selective acquisitions.
  • The company expected 2018 net capital expenditures of $450 million to $475 million.
  • Management expected the lower U.S. corporate tax rate to provide a material improvement to future earnings per share and cash flow, although the tax-law analysis was preliminary.
  • XPO expected to expand its North American last-mile hub network from 55 locations at year-end 2017 to 85 by year-end 2018.
  • Revenue and profitability are typically lower in the first quarter because of post-holiday demand patterns and winter operating conditions.
  • Key risks include economic and freight-volume cycles, intense competition, driver and independent-contractor availability, fuel prices, labor disputes, regulatory changes, cybersecurity and information-technology failures, foreign-exchange volatility, Brexit, acquisition integration, substantial indebtedness and floating interest rates.
  • The company faces numerous independent-contractor classification and wage-and-hour proceedings. Management believes probable and estimable losses are adequately accrued, but stated that unfavorable outcomes could materially affect financial condition, results or cash flows.
  • The company disclosed an ongoing voluntary disclosure and investigation regarding transactions involving sanctioned countries, entities or individuals. Potential consequences include government investigations, penalties and reputational harm.

Important facts for investors to verify

  • Separate recurring operating performance from the $173.1 million one-time tax benefit included in 2017 net income.
  • Review debt maturities, floating-rate exposure and the company’s ability to refinance or repay the large 2021 and 2022 obligations.
  • Assess whether Transportation and Logistics margin improvements are sustainable after cost savings and integration initiatives.
  • Monitor settlement or adverse developments in independent-contractor classification, wage-and-hour and other litigation.
  • Track settlement of the 6 million-share forward sale agreements and the resulting potential dilution.
  • Evaluate cash conversion after approximately $450 million to $475 million of expected 2018 capital expenditures and ongoing technology investment.
  • Confirm the effect of new revenue, lease and pension accounting standards adopted or expected to be adopted after 2017.
