Filing scope and business context
This is Full Truck Alliance Co. Ltd.’s annual report on Form 20-F for the fiscal year ended December 31, 2022, not a standalone fourth-quarter filing. It includes audited results for 2020–2022; selected fourth-quarter operating metrics are disclosed. The company operates a China-focused digital freight platform connecting shippers and truckers. Its U.S.-listed ADSs trade as YMM, with each ADS representing 20 Class A ordinary shares. Financial figures below are in RMB unless otherwise noted.
The Cayman Islands holding company conducts much of its China business through variable interest entities (VIEs) controlled by contractual arrangements, rather than direct equity ownership. The report uses U.S. GAAP; Deloitte issued unqualified opinions on the financial statements and internal controls.

Changes versus comparable periods
- Revenue rose 44.6% year over year, while gross margin improved from 45.5% to 47.8%.
- The swing to GAAP net income largely coincided with lower share-based compensation: expense fell to RMB919.3 million from RMB3.838 billion. General and administrative expense also fell to RMB1.418 billion from RMB4.271 billion.
- Operating activity was weaker year over year: 2022 fulfilled orders were 119.1 million versus 128.3 million in 2021, and GTV was RMB261.1 billion versus RMB262.3 billion. The filing attributes disruption partly to COVID-19 restrictions and the temporary suspension of new registrations during the cybersecurity review.
- In Q4 2022, fulfilled orders were 32.6 million versus 34.8 million in Q4 2021, while GTV was RMB72.0 billion versus RMB69.5 billion. Average monthly shipper MAUs rose to 1.88 million from 1.57 million.
- Transaction commission revenue more than doubled for the year, to RMB1.444 billion. In Q4, commissions were collected in 201 cities; commissioned GTV was RMB36.0 billion, about 50% of nationwide GTV, and quarterly commission revenue was RMB447.8 million.
Outlook, risks, contingencies and unusual items
- No numerical FY2023 guidance is provided in the filing. Management described monetization as still at an early stage, intends to expand freight matching and value-added services, and plans to develop intra-city and less-than-truckload offerings. It also said it would take a conservative approach to credit services.
- Freight brokerage economics rely materially on local-government grants that offset VAT and related costs. In 2022, gross VAT was RMB4.519 billion and grants were RMB1.980 billion; management cautions grants are not guaranteed and reductions could pressure profitability or require fee changes.
- China regulatory, data-security and VIE-structure risks remain significant. The cybersecurity review of the Yunmanman and Huochebang apps ended for registration purposes, and new-user registration resumed June 29, 2022, but future regulatory actions or changes could affect operations, licensing or the VIE arrangements.
- The PCAOB vacated its 2021 inspection restriction determination in December 2022; the company said it did not expect to be identified again under the HFCA Act in 2023, while warning that access could change and future trading restrictions remain possible.
- Two putative shareholder class actions tied to the 2021 IPO remained pending. The company said it could not estimate a possible loss or range of loss. It reported no other material contingent liabilities at year-end.
- Other notable items: 2022 net income included RMB230.6 million of other income, primarily a RMB229.5 million depositary-bank payment for ADR-program and investor-relations expenses; a U.S. withholding tax of RMB68.9 million was associated with that income. The company repurchased shares for approximately US$122.3 million in July 2022 and announced a subsequent, post-year-end authorization to repurchase up to US$500 million of ADSs over 12 months beginning March 13, 2023.
- The company reported no dividends paid and no plan to pay dividends in the foreseeable future. It also disclosed a significant risk of PFIC status for U.S. tax purposes in 2022 and future years.
Important facts for investors to verify
- Reconcile the improvement in GAAP earnings with lower share-based compensation and the RMB230.6 million depositary-related income; review the non-GAAP adjustments alongside GAAP results.
- Track fulfilled orders, GTV, shipper activity and commission penetration, including whether revenue growth can persist if transaction volumes remain below 2021 levels.
- Assess the sustainability and timing of government grants relative to VAT costs in freight brokerage.
- Review loan growth, credit-loss provisions, the 2.0% NPL measure, and guarantee exposure, including the RMB212.3 million maximum potential guarantee payment.
- Monitor VIE enforceability, PRC regulatory and data-security developments, and PCAOB inspection access; these risks could affect control of operations or ADS trading.
- Check the status and potential financial exposure of the IPO-related lawsuits and the execution, funding and remaining authorization under the share repurchase program.
