Provider Services revenue rose 6.8% to $599.6 million; segment EBITDA increased 25.4% to $81.9 million. Pharmacy growth was led by specialty-branded drug volume, but the segment’s gross margin fell to 8.6% from 10.9%, reflecting product and service mix, rate changes, and higher fulfillment cost per prescription. Provider Services benefited from volume, rate increases, and cost improvements.
Balance sheet, debt, and liquidity
- At March 31, cash was $58.0 million; current assets were $1.573 billion and current liabilities were $1.245 billion.
- Total debt was $2.640 billion gross and $2.564 billion net of issuance costs, down from $3.414 billion gross at December 31, 2023. The company reported leverage of 4.33x, versus 5.86x at year-end, and compliance with applicable debt covenants.
- The IPO and TEU offering generated $1.046 billion in net proceeds. BrightSpring repaid the $450 million Second Lien Facility, repaid $343.3 million of First Lien debt, and paid off revolving borrowings. The refinanced First Lien Tranche B-4 bears interest at SOFR plus 3.25%, had an 8.58% reported rate, and matures in 2031.
- Available Revolver capacity was approximately $467 million; reported total liquidity, including cash, was $526 million. Management said operating cash flows, cash on hand, and facility availability should meet cash requirements for the next 12 months and beyond.
- Operating cash use reflected working-capital needs, including increased receivables, inventory-payment timing, and delayed collections. Capital expenditures were $21.8 million; acquisition cash outflow was $9.4 million.
Material changes, outlook, and risks
- Revenue grew 27.0%, but gross profit grew only 10.4% and operating income declined substantially. Net loss increased by $24.1 million. Management attributed much of the earnings comparison to IPO-related expenses, including $22.7 million of monitoring-agreement termination fees, $15.0 million of previously unrecognized stock compensation, $8.1 million of new award expense, and $4.4 million of non-capitalizable offering costs. Other drivers included legal costs and the $12.7 million debt-extinguishment loss. The filing does not provide formal numerical full-year guidance.
- BrightSpring recorded a $120 million estimated settlement liability for the Silver False Claims Act matter, without admitting liability; final settlement remains subject to Department of Justice and court approval. The estimate increased by $5 million in Q1. The company says timing and final outcome remain uncertain.
- The Change Healthcare cybersecurity incident delayed claims submissions. BrightSpring said it was substantially caught up by the filing date, but estimated approximately $20 million of additional receivables and reduced operating cash flow in Q1.
- Management identifies dependence on government and other payors, reimbursement and legislative changes, labor availability and costs, drug costs, and interest-rate exposure as risks. A hypothetical 1% rate increase was estimated to increase annual net loss and reduce annual cash flow by $6.4 million, based on March 31 borrowings. $2.0 billion of debt was covered by interest-rate swaps through September 2025.
- TEUs carry a 6.75% annual payment rate and are mandatorily convertible in 2027, subject to settlement terms, into at least 26.2 million and up to 30.8 million common shares. This represents potential future dilution.
