HealthEquity, Inc. — FY2016 Form 10-K
Reporting period: Fiscal year ended January 31, 2016. This is an annual report, not a standalone fourth-quarter filing. Amounts are in U.S. dollars.
Business context
HealthEquity operates a technology-enabled platform for health savings accounts (HSAs) and related healthcare accounts. It earns revenue from account administration services, interest and investment-related custodial fees, and payment-card interchange. Growth depends on adding HSA members through health plan and employer partners and increasing assets and payment activity.
At year-end, the company reported 2.14 million HSA members, 4.6 million lives served, $3.68 billion in assets under management (AUM), and approximately 414,000 reimbursement arrangements. It added the Bancorp and M&T HSA portfolios during the year.

Revenue by source was service $61.6 million (+35%), custodial $37.8 million (+55%), and interchange $27.4 million (+55%). Service revenue per HSA member fell about 8% as tiered pricing lowered rates for larger partner populations; higher custodial revenue per member partly offset this.
At January 31, 2016, cash and cash equivalents were $83.6 million, with $40.1 million of marketable securities, for total cash, equivalents, and securities of $123.8 million. Working capital was $130.9 million; total assets were $219.8 million and liabilities were $16.3 million. The company had no borrowings outstanding under its $100 million, five-year secured revolving credit facility and reported covenant compliance.
Investing cash flow was a use of $90.6 million, mainly reflecting $40.5 million of HSA portfolio acquisitions, $40.3 million of marketable securities purchases, and technology and property investment. Financing cash flow was $36.6 million, including $23.5 million of net proceeds from a follow-on offering and $11.6 million of tax benefits from option exercises. Customer custodial AUM is held in trust and is distinct from company cash.
Changes, outlook, risks, and unusual items
- Member count rose 50% to 2.14 million and total AUM rose 56% to $3.68 billion. Growth reflected partner additions, deeper partner penetration, and the Bancorp and M&T portfolio acquisitions; the M&T portfolio transition occurred after year-end.
- Custodial revenue benefited from 50% growth in average daily cash AUM and a higher yield, 1.57% versus 1.52%. Interchange growth reflected higher member and payment activity, including more card use.
- Management expected near-term gross margin to remain relatively steady, while sales and marketing, technology and development, general and administrative costs, and acquired-asset amortization were expected to rise. The company planned continued platform investment and said existing liquidity should cover operating and capital needs for at least 12 months. The filing provides no specific revenue or EPS guidance.
- Key risks include changes to HSA tax treatment or healthcare regulation; interest-rate declines; competition and partner retention; cybersecurity, fraud, and service outages; dependence on custodial banks, a single card BIN sponsor, and third-party processors; and acquisition integration and growth execution. The credit facility is secured by substantially all company assets and includes financial and other restrictive covenants.
- The company disclosed no material pending litigation. The auditor reported fairly presented GAAP financial statements and effective internal control over financial reporting.
- Unusual disclosure: FY2015 fourth-quarter results included a $408,000 out-of-period revenue adjustment for an earlier understatement, increasing that quarter’s net income by $246,000. Management said it was not material to the prior periods or that quarter.
